A regular meeting of the Adams County Board of Supervisors was held with Chairman Eldon Orthmann
presiding. Roll Call members Present District 1, Michael Stromer, District 2, Mike Weeks District 3,
Jennifer Czekai, District 4,Scott Thomsen, District 5 Dale Curtis, District 6, Chuck Neumann, District t 7,
Eldon Orthmann.
Motion by Curtis,seconded by Weeks that this is an open public meeting of the Adams County Board of
Supervisors, Roll Call: Stromer,Weeks, Czekai,Thomsen, Curtis, Neumann, and Orthamnn. Nays, none
Orthmann stated that the minutes from the April 19, 2016 meeting have been circulated and will stand
approved unless there is a correction.
Public Notice of this meeting has been given by publication in the Hastings Tribune and by posting. An
agenda was available to the board members and was kept continuously current and posted in the
County Clerk's office,the main courthouse lobby and the Adams County website.The following is the
agenda of the items to be heard, no modifications were, made to the agenda after 9:30 a.m.the
business day prior to this meeting.

l of"PROJECT CORRUGATED METAL PIPE"for project sites throughout Adams
County. Bids will be accepted until April 27 @ 11:00 a.m,and publicly opened and read.
Specifications and bid forms may be obtained at the office of the Adams County
Highway Superintendent,415 North Adams Central Ave.,Juniata,Nebraska 68955.
All bids shall be accompanied by a Bid Bond or,Certitled or Cashier's Check in
the amount of five percent(5%)of the total amount bid,made payable to the Adams
County Treasurer,as evidence of good faith in bidding. All bids shall be submitted on
bid forms furnished by Adams County and shall be clearly marked"PROJECT

After discussion on the compactor a motion by Neumann and seconded by Weeks for delay the
purchase of the 2012 Vibratory Pad foot Drum Soil Compactor. Roll Call:Ayes,Thomsen,Stromer,
Czekai,Orthmann,Weeks,Curtis and Neumann. Nays: none.
Dawn Miller presented the board the Bid Tab for Project R-2016-A1 paving City Limits to Idlewilde with
the City of Hastings being responsible for paving Wabash to Highway 6 city limits.Vontz Paving
submitted the low bid for the County at$128,004.05. Miller asked for a motion to award the bid to
Vontz Paving and approve the Chairman to sign the Inter-local Cooperation Agreement for the
improvement of Wabash Ave"J"Street(US#6) south to Idlewilde Road. Motion made by Weeks to
award the bid to Vontz and the Chairman to sign the Inter-local agreement Roll call:Ayes Thomsen,

Dawn Miller addressed the Board about 42nd Street,The West Blue Township is not interested in
ownership and the City of Hastings is in favor of closure and vacating o East 42"d St. Motion was made
by Neumann and seconded by Curtis to accept the relinquishment and support of the city of Hastings for
the vacation 42nd Street. Roll Call: Ayes,Thomsen,Stromer,Czekai,Orthmann,Weeks,Curtis,
Neumann. Nays: none.
The Board asked David Bergin to draft a resolution for the vacation and sale of 42nd Street, Bergin will
present the resolution at the May 17th Meeting.

This letter is to advise you that the Adams County Board of Supervisors held a Public Hearing on
January 5,2016 to hear public comments on the possible closure/vacation of a section of East
42"d St as described within the attached Exhibit A.
Following the public hearing,the County Board now offers to"relinquish"said described
roadway to the Township of West Blue for their consideration to accept It for public use,accept
expenses for restoring the road back to usable condition,agrees to keep It maintained for
public use and the expense thereof,and further agrees to build and keep all safety barricades
and signage maintained et the Township's expense as necessary at the end of the road.
This letter is directed to the West Blue Township officials as your formal"notice of
relinquishment"per State Statute 39-1726(copy attached)that the County offers said
described roadway as shown In Exhibit A to the Township.As stated in this Statute the
ll Township has four(4)months to respond by filing a petition of their Intent to accept said
described roadway per the stated requirements above or to allow the roadway to be formally
closed/vacated by the County.

If there Is no response from the Township,the County Board willsplaceon theirJune 7 2016
agenda the final action necessary,by Resolution format,to formally close this segment of
described roadway. Please note that the Township may choose to advise the County in written
format at any time prior to June 7 of their Intent forthls road segment.

Re: Possible Closure/Vacation of East 42nd Street from Showboat Blvd west approximately 640.92 feet
Dear Dawn:
Pursuant to your letter of April 26,2016,addressed to the City of Hastings,please be advised that the
City of Hastings is very much in favor of the closure and vacation of East 42`4 Street as set forth above.
The City is Interested in completing a sale of approximately 8 acres to the Lyman Richey Corporation
(Gerho)d Concrete)for the location of a concrete plant on the site.The existing 42nd Street right-of-way
would be utilized by Gerhoid Concrete to exit the site onto Showboat Road and then on to the 42n4
Street bypass.Lyman Richey has been wanting to locate a concrete plant in Hastings for the last 8 or so
years and was finally able to find a site that was reasonably available to them.The property is currently
being used by Hastings Utilities to Incorporate sludge from the City's Pollution Control facility located on
East 26m Street.The acquisition of this portion of 42n4 Street is one of the contingencies that has to be
satisfied for the sale of the property to Lyman Richey to be finalized and closed.
If you have any questions,please feel free to contact me. I plan on being in attendance at the May 3,
2016 County Board meeting if the Supervisors would have any further questions.

Donna Fegler-Daiss spoke to the Board about Secondary Public Defender,the current contract has
expired and the Attorneys have been waiting on a ruling from Nebraska Supreme Court on how GAL
Attorneys are to be paid. Prior to this ruling they were paid by contract and the ruling states that they
must be paid hourly,which effects how the contact will be written. Thomsen made the motion to have
The County Attorney advertise for bids for secondary public attorney excluding juvenile dependency and

CONFIDENTIALITY AND NONDISCLOSURE AGREEMENT

certain confidential information regarding a Business Opportunity involving
GTA's possible expansion of its business and/or acquisition of an existing
business venture(collectively referred to hereinafter as"Business Opportunity")

I) Confidential Information. For purposes of this Agreement,
"Confidential Information"shall be all information provided by GTA to Recipient
about the Business Opportunity. Confidential Information shall not include any
information about the Business Opportunity that: (a)was already known to
Recipient before the date of this Agreement; (b) is now or becomes publicly
available,except as a result of a breach of this Agreement by Recipient;(c)is
obtained in good faith by Recipient from a third party that is not bound by an
obligation of confidentiality or non-disclosure with respect to that information,
2) Non-Disclosure. Recipient agrees that the Confidential Information
received from OTA regarding the Business Opportunity shall be kept in strictest
confidence and shall not,at any time, without the prior written permission of
GTA, be disclosed to any third party with the exception of Recipient's legal
counsel,accountants,or upon receipt by Recipient of any valid civil discovery
request for production, court order, or subpoena seeking disclosure of said
information.
3) Applicable Law. This Agreement shall be governed by Nebraska law.
The Parties hereto have executed this Agreement effective as of the date
