A regular meeting of the Adams County Board of Commissioners was held with Chairman Lee Hogan
presiding.
Motion by Curtis,seconded by Larsen that this is an open public meeting of the Adams County Board of

Chairman Hogan inquired if there were any conflicts of interest. No conflicts were disclosed.
Roll was taken, roll call members present, Michael Stromer- District 1, Glen Larsen—District 2, Lee

Chairman Hogan stated minutes from the October 19, 2021 meeting have been circulated to board
members and requested a motion to approve the minutes if there are no corrections.

November 11th so the new generator could be hooked up.The courthouse is closed that
day for Veteran's Day. A generator will be used to keep the jail and communications
areas running while the work is being done.

Chairman Hogan opened the meeting to receive comments from the public.

Adams County Deputy Attorney, David Bergin, presented the board with options for the Opioid
Litigation Settlements. Bergin stated the board can accept, decline, or accept and redirect funds to the
Region 3 Behavioral Services. Bergin stated that the programs in which the settlement money can be

RE: Opioid Litigation Settlements
Dear Chairperson Hogan,
This letter is intended to provide you and the remainder of the county's leadership with additional
information regarding two legal settlements recently entered into by the Attorney General against
a manufacturer and several distributors of prescription opioid drugs. The first settlement concerns
Johnson&Johnson. The second settlement concerns prescription drug distributors:McKesson,
Cardinal Health,and AmerisourceBergen(collectively referred to as the"distributors"). Both
settlement agreements contain similar terms and can be read in their entirety at the following
website:https://nationalopioidsettlement.com.
Both settlement agreements involve distributions of money on an annual basis to both a state fund
and allow direct distributions of money on an annual basis to certain political subdivisions
(referred to as"participating subdivisions"). You are receiving this letter because each Nebraska
county is listed as a"participating subdivision"under both settlement agreements.
The monetary distributions under both settlement agreements are maximized for both the state's
share and each participating subdivision's"direct share"when all participating subdivisions"sign
on"to or execute each of the two settlement agreements. It is important to note that participating
subdivisions must sign on to these settlement agreements in order to receive their direct share as
well as to be eligible to receive any additional distribution or grant from the state's share.
Participating subdivisions that do not sign on to these agreements will not only not receive their
direct share but will also not be eligible to receive any additional distribution or grant from
Nebraska's Opioid Recovery Fund.
Further details regarding your county's direct share,the state's Opioid Recovery Fund,and how
you can sign on to these settlements are provided below. In order to ensure that Nebraska and
each of its participating subdivisions are able to realize their maximum payments under these
settlements,we are asking you to provide your response before December 31,2021.
Why We Are Contacting You Now
These nationwide settlements with Johnson&Johnson and the distributors were announced on
July 24,2021. State attorneys general had until August 21,2021,to determine whether they would
sign on to these settlements. On September 4, 2021,the distributors and Johnson& Johnson
notified the attorneys general that a sufficient number of states had entered into these settlement
agreements to move forward with the process of notifying all participating political subdivisions.
Following this notification, a National Administrator responsible for verifying participating
political subdivisions and distributing both state and subdivision shares was retained.The National
Administrator has recently established a system for political subdivisions to receive their
respective direct shares.
This letter is your notice that your county is eligible to receive its direct share. Your county
will receive its direct share and be eligible to receive additional funding from the state's
Opioid Recovery Fund only if It signs on to these settlement agreements. To sign the
agreements,please follow the steps listed below:
1. Determine the person(s) that has/have legal authority to execute these participation
agreements on behalf of your county.(Such person(s)will eventually need to provide their
email address(es)to the National Administrator).
2. Log on to https://nationalopioidsettlement.cgm.
3. Click on the political subdivision registration link.
4..Enter your county's unique registration code ZYU V VY and click "verify registration
code".
5. The National Administrator will then provide your county with the necessary documents
to participate in the settlements. All required documentation should be signed and
submitted electronically through the nationalopioidsettlement.com website using the
"DocuSign"service.
The direct share percentage for each participating subdivision in Nebraska is found in"Exhibit G"
of each settlement agreement which is accessible on the nationalopioidsetticment.com website.
Conclusion:What Your County Can Do Next
The Attorney General's Office is happy to answer any questions that your county has regarding
these settlements.
Your county has several options for response to these settlement agreements:
I. "Sign on"to both of these agreements using the forms provided by the National
Administrator and thereby make your county eligible to receive its direct share and
potentially receive additional funds from Nebraska's Opioid Recovery Fund;
2. "Sign on"to both agreements but elect to contribute your county's direct share to
Nebraska's Opioid Recovery Fund for use within your Behavioral Health Region;
3. Elect to not"sign on"to these agreements and forego both your county's direct share and
forego distributions from Nebraska's Opioid Recovery Fund to your county.
Again,the more participating subdivisions that sign on to these agreements,the more money will
come to both your county,other political subdivisions throughout the state,and the state of
Nebraska as a whole.

Commissioner Dale Curtis started discussion on the policy for courthouse closure due to
inclement weather. Curtis stated he had received input from some county offices regarding the
policy and that there has been little follow-through by the board in regards to the inclement
weather policy.
Some discussion took place regarding the different scenarios and how different offices would
be impacted if the courthouse closed.
It was requested a workshop for county officials be held on November 16, 2021 at 2:00 pm to
discuss conditions and protocol for a closure.

Lutz for assistance in spending theses funds as the rules on what the funds can be used for are
extensive, confusing and constantly changing. Payment of a consulting service can be paid for
from the SLFRF funds received.
Commissioner Neumann questioned the need for Lutz services.
Adams County IT Director, Ron Kucera, who serves on the SLFRF/ARPA committee stated that
Lutz has been recommended by NACO to be an advisor in this area.

Lutz & Company, PC (Firm) (a preferred vendor of the Nebraska Association of County Officials (NACO),
approved by Jon Cannon, Executive Director)offers various consulting/compliance procedures with regards
to the Coronavirus State and Local Fiscal Recovery Funds or"SLFRF"as part of the American Rescue Plan Act
of 2021(the Act).
Under the Act, all Nebraska counties have received funds to respond to the economic and public health
impacts of COVID-19. Recipients and subrecipients are responsible for ensuring award funds are not used for
ineligible purposes,and there is no fraud,waste or abuse associated with the awards. Additionally,the use
of such funds should fall under on the four statutory categories:(1)response to the COVID-19 public health
emergency or its negative economic impacts; (2) respond to workers performing essential work during the
COVID-19 public health emergency by providing premium pay to such eligible workers of the recipient,or by
providing grants to eligible employers that have eligible workers who performed essential work; (3)for the
provision of government services,to the extent of the reduction in revenue of such recipient due to the COVID-
19 public health emergency,relative to revenues collected in the most recent full fiscal year of the recipient
prior to the emergency;and(4)to make necessary investments in water,sewer,or broadband infrastructure.
Funding is subject to the requirements specified in the SLFRF Interim Final Rule,adopted by the Treasury on
May 10,2021.
This letter will confirm our discussions and the engagement of the Firm to perform consulting services for
Adams County(the County).
Services and Fees
The Firm will work with the County to provide consulting services as deemed necessary to assist in your use
of SLFRF.
Our charges to the County for services will be made at our regular rates plus out-of-pocket expenses.
As a guide, the following are estimated average costs per hour based on our estimated "mix" of Lutz
individuals involved in the services. This list is not all inclusive and is just a guide for services we may provide:
Consulting
• Set up processes and internal controls for best practices for receipt of funds-$175/hr
• Consulting and identification of eligible uses of funds-$175/hr
• Consulting,monitoring and reporting of eligible programs-$195/hr
• Compliance,documentation and reporting of all necessary report filings-$230/hr

Single Audits(for counties spending over$750,000)
• Assistance for the County with preparing for a newly required Single Audit(where another
accounting firm is doing the Single Audit)-$175/hr
• Lutz performing the Single Audit as an agent for the accounting firm that performs the county
audit. This would be in a situation where the auditor is not qualified or experienced in
performing Single Audits-$200/hr
• A separate engagement letter will be prepared for each audit
Our hourly billing rates from July 1,2021 to June 30,2022 are the following:
Partner $375/hr
Director$275/hr
Manager$230/hr
Staff-Senior $140-$145/hr
We estimate a 3-5%increase in fees for each subsequent year. Those rate increases will be communicated
annually on July 1 of the subsequent year.
Billings will be rendered on a monthly basis with payment due upon presentation.
Billings become delinquent if not paid within 60 days of the invoice date.If billings are not paid within 60 days
of the invoice date,at our election,we may stop all work until your account is brought current or withdraw
from this engagement.You acknowledge and agree that we are not required to continue work in the event of
your failure to pay on a timely basis for services rendered as required by this engagement letter.You further
acknowledge and agree that in the event we stop work or withdraw from this engagement as a result of your
failure to pay on a timely basis for services rendered as required by this engagement letter,we shall not be
liable for any damages that occur as a result of our ceasing to render services.
Records and Assistance
During the course of our engagement,we may accumulate records containing data that should be maintained
by the County. the County will determine that all such data,if necessary,will be so maintained. Accordingly,
the County will not expect us to maintain copies of such records in our possession.
Term
Annually(by each July 1),Lutz with send out a new engagement letter detailing any change in our hourly billing
rates.
You may terminate the arrangement at any time by written notice to us. Termination for any reason will not
affect your obligation to pay us for fees and expenses incurred prior to termination
County Responsibilities
The sufficiency of the procedures is solely the responsibility of the County. We make no representation
regarding the sufficiency of the procedures described either for the purpose for which these services have
been requested or for any other purpose.
Because Lutz &Company PC will rely on the County and their management to discharge the foregoing
responsibilities,the County agrees to hold harmless and indemnify Lutz&Company,PC,its partners and
employees from all claims of third parties and liabilities,losses,and costs arising in circumstances where the

County and their management has known of a misrepresentation by a member of the County or County
management that has caused,in any respect, Lutz&Company PC's breach of this engagement or gross
negligence. This provision will survive termination of this letter.
Dispute Resolution
We believe that most disagreements can be resolved to mutual satisfaction in a friendly,non-threatening
environment. While we do not expect there to be any problems whatsoever with our relationship,
misunderstandings can occur. Therefore,the parties agree that any dispute arising under this engagement
(including the scope,nature and quality of services to be performed by us,our fees and other terms of the
engagement)shall be submitted to mediation. An impartial third party,acceptable to both parties,shall be
appointed to mediate. Each disputing party shall pay an equal percentage of the mediator's fees and
expenses. No suit or arbitration proceeding shall be commenced under this agreement until at least 60 days
after the mediator's first meeting with the involved parties. If the dispute requires litigation,the court shall
be authorized to impose all defense costs against any non-prevailing party found not to have participated in
the mediation process in good faith.
This letter constitutes the complete and exclusive statement of agreement between Lutz&Company,PC and
the County superseding all proposals,oral or written,and all other communications,with respect to the terms
of the engagement between the Lutz&Company,PC and the County.
If this letter correctly describes our engagement,please sign and return a copy of this letter to indicate your
acknowledgement of,and agreement of the arrangements above.
