A regular meeting of the Adams County Board of Commissioners was held with Vice Chairman Chuck
Neumann presiding.
Motion by Curtis,seconded by Stromer that this is an open public meeting of the Adams County Board
of Commissioners. Roll Call,Ayes:Stromer, Larsen,Johnson, Curtis, Neumann, Patterson Nays: None
Absent: Hogan
Vice Chairman Neumann inquired if there were any conflicts of interest. No conflicts were disclosed.
Roll was taken, roll call members present, Michael Stromer- District 1, Glen Larsen—District 2, Harold
Johnson—District 4, Dale Curtis- District 5, Chuck Neumann—District 6,Joe Patterson-District 7.

Public notice of this meeting, including the public hearing, has been given by publication in the Hastings

Vice Chairman Neumann requested a motion to approve all consent agenda items including claims to be
paid by the Adams County Clerk.

Vice Chairman Neuman opened the meeting to receive comments from the public.
No public comments were received.
Adams County Co-Superintendent, Greg Schmidt, presented the board with an interlocal agreement
between Adams County and the Village of Prosser for road maintenance. Schmidt has reviewed the
agreement and is recommending board approval.
INTERLOCAL AGREEMENT
Maintenance
of
Village Streets
This Agreement by and between the County of Adams,Nebraska and Village of Prosser in
Adams County,Nebraska.
The County of Adams,Nebraska does hereby agree to maintain specific street(s)for the Village
at the rate of S145.00 per hour as reviewed and billed quarterly. Maintenance,as described in
this Agreement,is to include periodic surface maintenance by motor grader.
Village of Prosser described streets to be maintained by County per most recent NWT map and
lane mile report.

Village of Prosser agrees to submit payment quarterly,as invoiced by the County of Adams,
Nebraska for street maintenance at the rate of S 145.00/hr.for hours maintained.
Village of Prosser is responsible for gravel,culverts,ditch work,etc.,for the described streets
listed above under this Agreement
Village of Prosser is 100%responsible for gravel and 50%responsible for culverts,ditch work,
asphalt patching asphalt overlay.etc.,for the boundary streets.
Village of Prosser hereby covenants and agrees to save and hold harmless the County of Adams,
its agents,and employees from all liabilities,charges,expenses,costs,or claims for damages
arising for any reason whatsoever under this Agreement.
This Agreement shall remain in full force and effect until terminated by either party by providing
thirty(30)days advance written notice of the intent to terminate said Agreement.

Adams County Surveyor,Tom Krueger, spoke to the board regarding a master agreement between the
Nebraska Department of Transportation for land survey corner preservation. Krueger requested the
item be tabled until he can get some clarifications from the state on the agreement.
Motion by Patterson,seconded by Johnson to table the survey agreement until the December 20, 2022

Zoning Administrator's Comments: The applicant would like to replat Noble Acres
Subdivision,a subdivision in the SE'/Section 25-T6N-R12W and make it a larger tract. Noble
Acres Subdivision was platted in September,2021 containing 5.91 acres. The proposed plat
would contain 6.32 acres. The proposed subdivision contains an existing house,well and septic
system. The applicant would like to vacate Noble Acres Subdivision concurrently with the
approval of the Noble Acres 2"d Subdivision. The Nat does not fall within the floodplain. All
requirements of the existing County and Village Subdivision Regulations and the Zoning
Regulations have been met.

A Resolution of the Adams County Board of Commissioners,Adams County,Nebraska,vacating the
subdivision`:Noble Acres Subdivision"and providing for the filing of the same with the Register of Deeds;
providing an effective date of this Resolution;and repealing any Resolution or other provisions in conflict
herewith.
It is hereby resolved that the Chairman and members of the Adams County Board of Commissioners of
Adams County,Nebraska:
Section1. That"NOBLE ACRES SUBDIVISION"described as:
A tract of land in the Southeast Quarter(SE'4)of Section 25,Township 6 North,Range 12 West of the 6th
P.M.,Adams County,Nebraska,and more particularly described as follows:
Beginning at the Southeast Corner of the Southeast Quarter(SE'A)of said Section 25and this being the point
of beginning,Thence N00°02'55"W(assumed bearing)on the East line of said Southeast'' a distance of
833.86 feet;Thence S89°57'05"W perpendicular to said East line a dista re of 33.00 feet to the beginning of

Planning and Zoning Committee,and Mignery is now requesting county board approval.

issuance of bonds totaling$18,755,000.00 for the Adams County Justice Center. Deputy Attorney Bergin
and members of the justice center committee have reviewed the resolution.

AUTHORIZING THE ISSUANCE, SALE AND DELIVERY OF GENERAL
OBLIGATION BONDS IN AN AGGREGATE PRINCIPAL AMOUNT NOT TO
EXCEED S18,755,1000 IN ONE OR MORE SERIES; PRESCRIBING THE FORM
OF THE BONDS; FIXING IN PART AND PROVIDING FOR THE FIXING IN
PART OF THE TERMS 01 THE BONDS; PROVIDING FOR THE LEVY AND
COLLECIION OF TAXES TO PAY Tut PRINCIPAL OF AND INTEREST ON
THE BONDS;AND RELATED MATTERS.
BE IT RESOLVED BY THE BOARD OF SUPERVISORS OF THE COUNTY OF
ADAMS,NEBRASKA AS FOLLOWS:
Section I. The Board of Supervisors (the "Board") of The County of Adarns, Nebraska (the
"County")hereby finds and determines that:
(a) Pursuant to Neb. Const. Art. VIM Sec. 5,and Section 23-120, R.R.S. Neb.,as amended,
(the"Act"),the Board has the authority,upon a major',ty vote of electors voting at a special election held
November 3,2020(the"Election")to(1)issue negotiable bonds of the County for the purpose of paying
the costs of constructing.equipping and furnishing a new County Justice Center, including a jail.sheriff's
office,dispatchicommunications center and a video court mom, and related improvements(collectively,
the"Project"),and(2) levy an annual tax on the taxable property in such County.which may exceed the
County's anatitution limitation for levying taxes of 500 per$100 of taxable value,sufficient in rate and
amount to pay the principal of and interest on such bonds.
(c) Pursuant to a resolution adopted by the Board,at the Election.there was submittal to the
electors of the County, and the electors passed, a proposition (the "Proposition") for the issuance of
bunds in an amount not to exceed$38,000,000 to provide funds to pay the costa of the Project and related
costs and to levy an annual tax on all of the taxable property in such County, which may exceed the
County's constitution limitation for levying taxes of 500 per Si® of taxable value, in an amount
sufficient to pay the principal of and interest on such bonds as the same become due.
(d) As of the date of this reaolution, the County has previously issued the following bonds
authorized pursuant to the Election to pay a portion of the costs of the Project;
(i) General Obligation Bonds. Seri= 2021 in the amount of$9,630,000 dated April
15,2021;and
(ii) General Obligation Bonds,Scrims 2022 in the amount of$9,615,000 dated April
28,2022.
(c) It Is necessary, desirable, advisable and in the best interest of the Count to authorize the
issuance.,sale and delivery of the remaining general obligation bonds authorized at the Election pursuant
to the Act in an aggregate stated principal amount not to exceed$18,755,000,in one or more series,(the
"Boob") for the purposes of paying a portion of the costs of the Project and the costs of issuing such
bonds.
(I) All conditions, ass, and things required by law to exist or to he done precedent to the
issuance. of the Bonds do exist and have been done in due farm and time as required by law.

Section 2. (a)For the purpose of paying(t)a portion of the costs of the Project and(2)the coats
of issuing bonds as deicribed basin,the issuance,sale and delivery of the Bonds is hereby twthorizal and
directed The Bands shall be issued in fully registered form in the denomination of$5.000 or any integral

(b) The Chair of the Board, Vice Chair of the Board, and County Clerk (each, an
"Authorized OfMeer")arc each hereby authorized and directed,in the exercise of his or her independent
judgment and absolute discretion, to hereafter, from time to tune. spsctfy,ser,dasigtrta, detmmur,
establish and appoint, as the Caere may be, and in each case in aecordaue with and subject to the
provisions of this Resolution.(1)the date or dales of orfgioal issue of the Birds,which may he issued in
one or more series,(2)the aggregate sated principal amount of each sates of Bonds to be homed.which
shall in nu evert exceed an itggregate stated principal amount of$18,755.000,(3)the primdpal payment
data for the Bonds and the principal amount of Borate to mature on each of such dates,(4)the date of
'.'mal maturity of the Bonds,which shall in no event be later than December 31,2042,(S)the date or dates
upon which each aeries of Bards shall be sold,(b)the rate or rates of interest to be carried by each
natunty of the Bondi,which shall in no event result in a true interest cwt recasting 4.0%pa annum for
any menet of the Bods,and any original issue premium or discount.(7)the method by which such rate or
rates of interest shall be calculated and the interest payment dates and record date for the Beads,(81
whether or rout the Bonds shall be aubjcei to redemption prior to their stated maturity and,if whject to
such prior redemption,(A)the provisions and procedures governing such prior redemption.(B)the nature
of any notice to be given in the event of any such prior redemption,(C)the red anptiori price or prices
payable upon such redemption(rot to exceed 104%)and(1))the respective periods in which each
redemption price shall be payable,(9)the amount and due date of each sinking fend installment for Bonds

(c) Payments of interest due on the Bonds prior to maturity or earlier redemption shall be
rtudc by the Registrar(hasinaaer defined)by mailing a check or draft in the amount duo for such inland
on each interest payment dole to the rvgistued owner of arch Bond,as of the record due for such interest
payment date,to such owner's registered address as shown on the books of registration required to be
maintained pursuant to Setllsa 5. Payment of the principal or redemption price of and interest on any
Booed at maturity or earlier redemption shall be made upon presentation and surrender of sixth Build as the
same shall become due and payable sat maturity,upon nexlanptiun or otherwise,in lawful money of the
United States of America al the ulTee of the Registrar. Ndwithatatding the foregoing.Bonds issued in
book-entry form shall be paid in accordance with Seaton 1(d).
(d) the Bonds shall be executed on behalf of the County by the manual or facsimile
signatures of the('hair of the Board of Supervisors and County Clerk. The Bonds are authorized to
initially he issued in book-entry form only using the=veal of The Depository Trust Company(the
"Depository"), with one typewritten bond pa maturity being issued to the Depository. In such
connection such officers are nuthaneart to execute and deliver a late of unxkrslanding and representation
(the"Representation Letter")in the form required by the Depository,for and on behalf of the County.

which shall thereafter govern matters with respect to registration,transfer.payment and redemption of the
hoists. Upon the issuance of the fiords int honk envy-ford,the following provisions shall apply:
(I) The('rarity and the Registrar shall have no rc insihility or obligation to any
booker-dealer, bank or other financial institution for which the Depository holds Bonds as
scaurities depodrory(arch.a"Bead Partidpaat")or to any parson who is all aerie/0 purchaser of
a Bond limn a Bond Participant while the Bono are in book-eery fora(each,a"Beneficial
Owner')with nrpect to the following;
(A) the accuracy of the records of the Depository, any nominee of the
Depository or any Bond Panic-maul with mama to any ownership interest in the Bondi;
(B) the delivery to any Burd Participant,my Beneficial Owner or any other
person,other than the Depository.of any notice with respect to the fiords,including any
notion of rudamtp(io4 or
(C) the payment to any Boni Participant,any Beneficial Owner or any other
p>resrt, other than the Depository, of airy amount with resew to the Bads. The
Registrar shall make payments with rpt to the Hoods only to or upon the order of the
Depritory or its nominee and all such payments is shall he valid and effective fully to
satisfy and discharge the obligations with respect to such Bonds to the extent of the sump
or sums so paid. No person other than the Deprsitosy shall receive an authaeteated
Bond.
(2) Upon receipt by the Registrar of written node:from the Depository to the effect
that the Depository u enable or unwilling to discharge its responsibilities,the Registrar shall
issue, transfer and exchange fiords requested by the Depository in appropriate amounts.

(A)to arrange,with the prior written consent of the County,for a substitute depository willing
and able upon reasonable and custurnary lama to maintain custody of the Birds or(B)to make
available Bonds registered in whatever name or nattier the Beneficial Owners transferring or
exchanging such Bonds shall designate,

County and the Registrar shalt issue.transfer or exchange aatifiorten riruaannng the Bonds as
rapneaed by the Depository in appropriate amauas and in authorized denominations.
(4) Notwithstanding any other prove-vim of this Res lutiun te the wierary,so king as
any Bond is registered in the name of the Depository or any nominee thereof all mermen with
respect to such Rued and all mica with revel no such Hord shall he rustle and given,
respectively,to the Depository as provided in the Rem senratio n Latta.
(5) Registered ownership of the Donde nay be transferred on the books of
registration maintained by the Registrar,and the Hoods may be delivtrtal in physical form to the
following:

(A) any suexxesor securities depository or its nominee;
(B) any persons,upon(i)the resignation of the Depository'from its functions
as depository or(ii)termination of the use of the Depository pursuant to this Section 2.
(6) In the event of any partial redemption of a Bond, unless and until such partially
redeemed Bood has been replaced in accordance with the previsions of this Section 2,the books
and records of the Registrar shall govern and establish the principal amount of such Bond es is
then outstanding and all of the Bonds issued to the Depository or its nominee shall contain a
legend to such eti'ecx.
If for any reason the Depository resigns and is not replaced,the County shall immediately provide
a supply of printed bond certificates,duly executed by the manual or facsimile signatures of the(hair of
the Board of Supervisors and County Clerk of the County, for issuance upon transfers from the
Depository and subsequent transfers or in the event of partial redemption. In the event that such supply of
bonds shall be insufficient to mea the requirements of the County and Registrar for issuance of
replacement bonds upon transfer or partial redernption,the County agrees to order printed an additional
supply of bonds and to direct their execution by the manual or facsimile signature of its then duly
qualified and acting Chair of the Board of Supervisors and County Clerk. In case any officer whose
signature or facsimile thereof shall appear on any Bond shall cease to be Ruch officer before the delivery
of such Bond(including any bonds delivered to the Registrar for issuance upon transfer),such signature
or such facsimile signature shall nevertheless he valid and sufficient for all purposes the same as if such
officer or officers had ranainod in office until the delivery of such Bond. Nu Bond shall he valid or
obligatory for any purpose or entitled to any security or benefit under this Reeroluuon unless and until the
Certificate of Authentication thereon shall have been duly executed by the Registrar. Certificates of
Authentication on different Bonds need not be signed by the same representative. The executed
Certificate of Authentication on each Bond shall be amclusivc evidence that it has been authenticated and
delivered under this Resolution.
(e) Any Bond issued upon transfer or exchange thereof shall be dated as of the date of
original issue of such Bond or the interest payment date six months preceding the interest payment date
next following the due of registration thereof in the oilier of the Registrar,as shall be appropriate,unless
such date of registration shall be an interest payment date,in which case they shall be dated as of such
date of rcglstndien;provided,however,that if,as shown by the records of the Registrar,interest on such
Bond shall be in default,the Bond issued in lieu thereof may be dated as of the date to which interest has
been paid in full on such surrendered Bond;and provided further,that if the date of registnttion shall he
prior to the first intense payment date,such Bond shall be dated as of the date of original issue thereof
The Bonds shall bear interest from the date of original issue thereof.
(f) When any Bond shall have been duly called for redemption and payment thereof duly
made or provided for, interest thereon shall cease from and after the date specified for the redemption
thereof.
(g) Both the principal of and interest on the Bonds shall be payable at the office of the
Registrar in any coin or currency of the United States of America which at the time of such payment is
legal under for public and private debts.
(1t) If the date for payment of the principal of or interest on the Beards shall be a Saturday,
Sunday,legal holiday or a day on which banking institutions in the city where the principal colporatc trust
office of the Registrar is located arc authorized by law or executive order to close,then the date for such
payment shall be the next sucxeuhmg day which is not a Saturday, Sunday, legal holiday or a day on

which such banking institutions are authorized to close, and payment on such day shall have the same
force and effect as if made on the nominal date of payment.
(i) An Authorized Officer, in her or his discretion, may authorize the printing of CUSIP

Bond remains outstanding,annually provide for the levy and collection of a tax in addition to all other
taxes upon all of the taxable property in the Count sufficient in rate and amount to pay the principal or

the Bonds as either beanng taxable interest or bearing tax-exernpt interest. The County hereby covenants
with the purchasers and holders of each series ot'the Bonds baring tax-exempt interest herein authorized
that it will make no use of the proceeds of said issue, including monies held in any sinking tend for the
payment of principal and interest on said Bonds, which would cause said Bonds to be arbitrage bonds
within the mauling of Suulions 103 and 148 and other related sections of the Internal Revenue Code of
1986, as amended, (the "Code") and further covenants to comply with said Sections 103 and 148 and
related sections and all applicable regulations thereunder throughout the term of said issue. The County
hcrcby covenant:, and agrees to take all actions necessary under the Code to maintain the tax exempt
status(as to taxpayers generally)of interest payable on each series of the Bonds herein authorized bearing
tax-exempt interest. including execution of a Federal Tax Certificate to be dated the date of issuance of
the Bonds.
Section 13. Rebate Account. To ensure proper compliance with the tax covenants contained in
Sectloa 12 with respect to any bonds issued with tax-exaaprt interest,the County shall establish and an
Authorized Officer shah maintain ono or more accounts separate from any other fund or account
established and maintained hcrcu nder appropriately designated as the 2020 Rebate Account. All money
at any time deposited in any Rebate Account in aixutdance with the provisions of a Tax Certificate shall
be held for the account of the County in trust for payment to the federal govcrttnicnt of the United States
of America, and neither the County nor any registered owner of any Bond shall have any rights in or
claim to such money. All amounts deposited into or on deposit in any Rebate Account shall be governed
hereby and by the related Tax Certificate. The County shall invest all amounts held in any Rebate
Account in accordance with the related Tax Certificate. Money shall not be transferred from a Rebate
Account except in accordance with the related Tax Certificate.
Section 14. The County Clerk is directed to make and certify transcripts of the proceedings of
the County precedent to the issuance of such Honda, a copy of which shall be delivered to the original

Section 15. (a)If any one or more of the provisions of this Resolution should be dctatnincd by a
oourt of competent jurisdiction to be contrary to law,then such provisions shall be deemed sovesble from

BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF ADAMS COUNTY,
NEBRASKA that:
THAT the following traffic plan to be followed on dates upon which the Barn Festivals are
oocurring during the Christmas season of 2022 is hereby adopted by the Adams County
Commissioners:

I. The traffic plan for the Christmas Season of 2022 is attached to this resolution and is hereby
made a part of this resolution by reference.
2. The traffic plan shall be effective on the following dates:
December 2'thru December I 1 i4',2022
3. The traffic plan for the Christmas Season of 2022 shall be carried out in the same manner as
described in Resolution No,2022-04-19.01 and shall be operated and carried out by persons who
are employees of the owners of The Barn or persons who have been contracted with by the
owners of The Barn. The owners of The Barn shall be liable for any injuries,damages,or other
unintended outcomes as a result of the operation of the traffic plan as amended herein for the
year 2022.
