A regular meeting of the Adams County Board of Supervisors was held with Chairman Eldon Orthmann was
presiding. Roll call members present: Michael Stromer - District 2 Lee Hogan- District 3, Scott Thomsen — District
4, Dale Curtis- District 5, Chuck Neumann — District 6, Eldon Orthmann — District 7
Motion by Curtis, seconded by Stromer that this is an open public meeting of the Adams County Board of
Supervisors. Roll CaII; Ayes: Stromer, Hogan, Thomsen, Curtis, Neumann, Orthmann. Nays: None
Orthmann stated that minutes from the April 4, 2017 meeting have been circulated and will stand approved
unless there is a correction.

Public notice of this meeting has been given by publication in the Hastings Tribune and by posting. An agenda
was available to the board members and was kept continuously current and posted in the County Clerk's office,
the main courthouse lobby and the Adams County website. The following is the agenda of items to be heard, no

Enclosed are the Grant Award and Special Conditions approved by the Nebraska Crime Commission
at the October 14, 2016 meeting. These two dociunents must be signed by the appropriate
individuals and returned to the Crime Commission within 30 days of the date of this memo. Each
document requires the signatures of the Authorized Official, Project Director, and Financial Officer. In
addition, each page of the Special Conditions must be initialed by the Authorized Official. It is highly
recommended that you retain a copy of these legal documents for your agency records.
Please review the Special Conditions thoroughly as this document outlines subrecipient reporting
requirements, due dates and other legal obligations associated with the acceptance and use of federal
funds from the. Crime Commission. For your assistance various grant forms (Le,, Subgrant Adjustment
Request, Cash Reports/Request Form, and Grant Activity Summary), instructions and training videos
have been made available on the Crime Commission website at www.nec.nc.gov.
All correspondence regarding this grant award including entails must identify the grant number listed
above. Also, all project contact information must be on file at the Crime Commission and current at all
times. Any updates or changes in the individuals identified as the Project Coordinator, Project Director,
Fiscal Officer or Authorized Oficial or their contact information (i.e., email address, phone #, etc.) must
he submitted through a Subgrant Adjustment Request.
As a subrecipient of federal funds your organization is required to have a completed ESOP
Certification form submitted to the Federal Office of Civil Rights. A copy of this completed form
must bo provided to the Crime Commission within 30 days of the date of this merno. The

Wellness Committee Chairman, Chip Volcek, presented the Board with a renewal contract with Wellness
Partners for the county sponsored wellness program for employees. Volcek stated that he and members of the
wellness committee have reviewed the contract and request approval of the Chairman signing it.

WELLNESS PARTNERS
Voluntary Wellness Program
This is an Agreement entered this 25th day of June, 2017 by and between Wellness Partners, LLC
and Adams County ("Employer")
1. DEFINITIONS
(a) The term "Eligible Employees" shall mean either:
(X) Option 1. All employees of the employer.
( ) Option 2. All full-time permanent employees.
Employees acquired by the Employer as part of a merger or acquisition of another entity
shall be Eligible Employees as of:
(X) Option 1. Immediately upon employment.
( ) Option 2. The next anniversary of the plan.
Spousal Participation
(X) Option 1. Spouses of Eligible Employees are allowed to participate.
( ) Option 2. Spouses of Eligible Employees are NOT allowed to
participate.
(b) The term "Participant" shall mean, any Eligible Employee or Spouse who completes the
Annual Health Risk Assessment and/or Annual Health Screening, or receives a Medical
Waiver.
(c) The Employer may allow non -Eligible Employees and their Spouses to participate in the
screening and, if so, the Employer will so notify Wellness Partners in advance and
identify each person who wishes to participate in the screening who is not an "Eligible
Employee".
(d) The term "Voluntary" shall mean, Eligible Employees can opt whether to participate in
the plan or not. Any Participant will be allowed to opt out of the plan at any time. If a
participant opts out of the plan they will be allowed to rejoin the program only on the
next anniversary date of the plan.
(e)
The term "Effective Date" shall mean 6/25/2017.
2. SERVICES PROVIDED BY WELLNESS PARTNERS
(a) Annual Health Screening
Wellness Partners shall provide an Annual Health Screening for the Employer's Eligil
Employees and Spouses during or before the Employer's regular business hours on
mutually agreeable time(s) and date(s). Standard services shall include:

d. Weight
e. Pulse
2. Laboratory Testing to include:

(b) Critical Lab Follow -Up
If a lab result is deemed critical by our lab or medical director, Wellness Partners will
contact the individual as soon as possible to alert them of their result and encourage
follow-up with their health care provider of choice. Anyone who has a blood draw
completed by Wellness Partners will be contacted for a critical lab result, regardless of
participation status.
(c) Annual Health Risk Assessment
Wellness Partners shall provide an Annual Health Risk Assessment questionnaire
(either online or paper) to the Employer's Eligible Employees and Spouses.
(d) Personalized Wellness Report
Once Wellness Partners has received the lab results and completed questionnaire, we
will compile a personalized report for each participant and mail it to their home address.
(e) Health Risk Assessment Follow -Up
Following the Annual Health Screening, each participant will complete a telephone
review of their Health Risk Assessment and Lab Results with a Wellness Partners'
Nurse. Employer agrees to allow employees to be contacted at work during regular
business hours. (Employer may opt to make this a participation requirement)
(f) Newsletter
Wellness Partners will publish a monthly newsletter on Health and Wellness material
and mail to Employer sufficient copies for distribution to each Eligible Employee.
Employer agrees to distribute the newsletter to each of its Eligible Employees promptly
upon receipt.
(g)
Online Wellness Center
Wellness Partners will provide a web -based Wellness Center for all participants
containing supporting materials for the program. The Employer agrees to make
available internet access at work if the participant has no home access.

(h) Medically Appropriate Alternative Plan (Medical Waiver)
Any participant that is unable to participate in the Wellness Partners' program, due to a
medical condition, may contact Wellness Partners and request an appropriate
alternative plan in order for them to achieve the same rewards available under this
program.
(i) Group Reporting
Wellness Partners shall provide an annual aggregated report of the combined results of
the Screening and Health Risk Assessment data.
(j) Data Management
Wellness Partners shall retain and analyze all data from Screenings and Health Risk
Assessments to generate year over year comparisons and maximize effectiveness.
(k) Health Boost
Qualifying members will be offered access to our Disease Assistance Program Health
Boost.

Wellness Partners shall assist in identifying participants who may benefit from a PHA
higher -quality, lower-cost privately contracted medical provider.
3. EMPLOYER REQUIREMENTS
(a) Employer Contact
The Employer shall designate an employee to serve as coordinator with Wellness
Partners in connection with its duties under this Agreement. The Employer shall
promote and support the programs offered by Wellness Partners and encourage its
eligible employees to participate therein.
(b) Minimum Participation
Wellness Partners will not offer a health screening for less than 10 participants per
location.
(c) Participant Census
The Employer shall provide a list of all possible participants, including first name, last
name, date of birth, sex, and last four digits of social security number, no later than 4

weeks before the first health screening date.
(d) Participant Scheduling
Wellness Partners will provide a scheduling sheet (paper or online) for each health
screening date and location prior to the health screening. The Employer shall post in an
appropriate place and require those wishing to participate to sign up for a specific time.
The Employer shall return the completed schedule to Wellness Partners no later than 3
days prior to the health screening.
(e) Appropriate Facilities
The Employer shall provide appropriate facilities for Wellness Partners to conduct the
health screening(s). This shall include a room with at least 1 working power outlet, no
less than 2 tables, no less than 4 chairs, appropriate lighting, and proper ventilation.
(f) Breakfast
The Employer shall provide a light, healthy breakfast for their participants immediately
following their Annual Health Screening. Sample: Water, Milk, or 100% Fruit Juice and
yogurt or fresh fruit.
(g)
Health Screening Cancellation
The Employer may not cancel a previously scheduled screening on less than 72 hours'
notice. Notwithstanding any other provision of this Agreement, if the Employer cancels
a screening on less than 30 days' notice, the Employer must pay a cancellation fee of
$500 and must also reimburse Wetness Partners for any travel or third -party vendor
fees incurred in connection with the scheduled screening to the extent that Wellness
Partners is obliged to pay them. If the Employer cancels a screening with 30 days or
longer notice, the Employer does not have a cancellation fee.
4. INCENTIVE AND ANCILLARY PROGRAMS
Employer agrees to encourage participation in the Wellness Partners Program in the form of a
premium differential or discount given to the participants. The incentive must be at least 10%
of the employee only maximum cost for the employer's group medical program, for single
coverage participants. The incentive for employee and spouse, or family shall also be a
minimum of 10% of their respective maximum cost. The incentive cannot exceed 30% of the
employer group medical program cost for each participant, employee and spouse or family.
The parties acknowledge that the Employer may offer other incentives to Eligible Employees
intended to encourage participation in the program or achievement of particular results.
Employer acknowledges that Wellness Partners has no responsibilities in connection with the
design of such Incentive Programs or Ancillary Programs and warrants that the Incentive and
Ancillary Programs fully comply with all applicable laws and regulations. To the extent such
programs require Wellness Partners to disclose individually identifiable health information to
the Employer or to a third party, Employer represents and warrants that it has complied and
required any third party to comply with all requirements related to the use of disclosure of such
information imposed by HIPAA and any other applicable laws and regulations.
5. PARTICIPATION REQUIREMENTS
Participants must meet all requirements of the plan, set by the Employer, to qualify for the
incentives offered by the wellness program. Participation requirements are reviewed on an
annual basis, participants not meeting all participation requirements will be given 30 days to
meet the unsatisfied requirements. Wellness Partners will notify the employer that the
participant has failed to meet the participation requirements, but will not disclose any PHI to
the employer. Any participant that fails to meet participation requirements may re-enter the
program at the next plan anniversary. Employer established participation requirements are
reported on a Pass/Fail basis with no PHI released.
Employer Set Participation Requirements:
a. Complete the Annual Health Screening
b. Complete the Annual Health Risk Assessment
c. Review Results with a Wellness Partners' Nurse
d. Receive Medical Follow -Up on Critical Labs and/or Lab Trends
i. Criteria will be set by Wellness Partners' Lab and Medical Director.
6. CONFIDENTIALITY
Wellness Partners shall handle confidential Protected Health Information in accordance with
the provisions of the Health Information Portability and Accountability Act. Wellness Partners
will not disclose individually identifiable health information to the Employer.
7. FEES AND EXPENSES
(a) The Employer shall pay to Wellness Partners a fee for standard services as follows:
(i) For services described in paragraph 2 (a), of this Agreement, lab testing fees
will be paid by the participant's preventative care benefit. Individuals ineligible for
coverage will be billed to the employer at $110.00 per participant. (no optional
labs included)
(ii) For services described in paragraph 2 (c -j), of this Agreement, the
annual cost will be billed to the employer at $9.50 per participant per month.
(b) Wellness Partners shall bill the Employer monthly and all fees and expenses shall
be due and payable 60 days after the date of the billing statement. Late payments
will bear interest at an annual percentage rate of 12% (or the highest rate
permitted by applicable law, whichever is less) from the date due. If Wellness
Partners is required to file suit to collect any payment due, the Employer will pay

the costs of collection, including without limitation, Wellness Partners' court costs
and reasonable attorney's fees.
8. TERM
This Agreement shall begin on the Effective Date and continue for a period of 3 year(s) from
that date. Thereafter, the contract will automatically renew for successive one-year terms;
provided, however, that either party may terminate this Agreement on any anniversary thereof
by providing sixty (60) days prior written notice to the other party.
9. INDEMNITY
Wellness Partners shall indemnify the Employer and hold it harmless from any and all loss,
cost, claim, liability, damage or expense, including reasonable attorney fees, which it may incur
with respect to any third party claims resulting solely from the negligent acts or omissions of
Wetness Partners in connection with conduct of the annual health screening or follow-up
program. The Employer will indemnify Wellness Partners and hold it harmless from any and
all loss, cost, claim, liability, damage or expense, including reasonable attorney fees, which it
may incur with respect to any third party claims resulting from the Employer's design or
administration of its Incentive Programs or Ancillary Programs or the receipt, handling, use,
disclosure or loss of Protected Health Information by the Employer or any third party acting on
its behalf.
10. RELATIONSHIP OF PARTIES
The relationship created by this Agreement is that of independent contractors. Nothing herein
shall be construed to create a relationship between the parties of employer and employee,
principal and agent, partners or joint -venturers.
11. DATA OWNERSHIP
Wellness Partners is owner of all data collected from screening participants in the course of
providing its services hereunder and all data derived from the collected data. Employer
acknowledges that Wellness Partners has a legitimate business need to retain data following
termination of the Agreement.
12. PROPRIETARY NATURE
The information contained in this contract and in documents and materials provided to the
employer by Wellness Partners, LLC is proprietary in nature and developed with assets and by
personnel of Wellness Partners, LLC. Employer hereby agrees that it shall make no use of
said material or information except the use that is contemplated by this contract during the time
of the contract performance or following termination of the contract.
13. ENTIRE AGREEMENT

This is the entire agreement between the parties and supersedes all other agreements, either
oral or in writing. No promises, warranties, inducements or representations have been made
except as set forth in this Agreement. This Agreement may not be modified except by written
agreements signed by authorized officers of the parties.
14. NO THIRD PARTY BENEFICIARIES
The parties have entered into this Agreement solely for their own mutual benefit. No other
person will have any rights hereunder.
15. GOVERNING LAW
This Agreement shall be interpreted, construed and enforced in accordance with the laws of
the State of Nebraska without regard to principles of conflicts of laws.
16. WAIVER OF BREACH
The failure of either party to require strict adherence of the other to the requirements of this
Agreement shall in no way affect the respective rights of either party to enforce same nor shall
any waiver of any breach of this contract be construed as a waiver of any subsequent breach
or a waiver or modification of the provisions of this Agreement.
17. FORCE MAJEURE
Neither party shall be liable for failure or delay of performance hereunder arising from Acts of
God or other acts or occurrences beyond control of the parties, including but not limited to acts
of courts and regulatory bodies, fires, explosions, weather-related obstacles to performance,
labor stoppages, war or rebellion.
18. BINDING ARBITRATION
All disputes which arise out of the performance of the terms and conditions of this agreement
or the interpretation of its rights and liabilities shall be resolved by submission of said disputes
to arbitration before an arbiter selected from the list of the American Arbitration Association
who has expertise related to education or experience in health care and insurance fields. The
arbiter's decision shall be binding upon both parties and to the extent required may be
submitted to a court of competent jurisdiction for confirmation by either party.

19. NOTICES
All notices given under this Agreement shall be in writing and sent by first class United States
mail, postage prepaid, to the other party as set forth below, or to such other person or address
as either party may designate from time to time in writing to the other party.

Adams County Roads Superintendent, Dawn Miller, presented the Board with bids received for the Adams
Central Road overlay project. Miller, along with the Road and Bridge Committee, have reviewed the bids and is
recommending alternate bids one and two with Vontz Paving in the amount of $393,498.00.

Motion by Curtis, seconded by Neumann to declare the eight vehicles from the sheriff's department as surplus
and approve them being sold at public auction. Roll CaII; Ayes: Stromer, Hogan, Thomsen, Curtis, Neumann,

Supervisor Neumann led the agenda item of discussion on the US Highway 6 project being proposed by the
Nebraska Department of Roads. Supervisor Neumann attended a meeting in Lincoln with representative from
the NDOR as well as the City of Hastings. The project would run from J Street to Showboat Blvd and replacing
the curve by Bimbo Bakery with a right angle turn. A detour would be routed from J Street to Showboat Blvd.
The State of Nebraska would reimburse the County for damage done to county roads along the detour route.
Extensive discussion occurred between the Supervisors and Dawn Miller regarding the project. With the general
opinion being that this is not the best design for the area as it will negatively impact business along the route
and when finished, would not be a desirable route for truck traffic.
No action was taken, as this was a discussion item only.
Adams County Deputy Attorney, David Bergin, presented the Board with Resolution 2017-04-18.01; that would
reinstate the catastrophic sick leave benefit for county employees, as well as eliminate the sick leave bank.
Motion by Curtis, seconded by Thomsen to approve Resolution 2017-04-18.01.

TO AMEND THE ADAMS COUNTY EMPLOYEE HANDBOOK
RELATING TO THE REINSTATEMENT OF CATASTROPI 1C ILLNESS LEAVE
Adams County Resolution No. 2017-04-18.01.
BE IT RESOLVED BY TME BOARD OF SUPERVISORS OF ADAMS COUNTY,
NEBRASKA that:
On pages 23, 24, and 25 of the Adams County Employees 1.Iandbook which was most recently
fully revised on December 20, 2011, the section entitled "SICK LEAVE BANK PROGRAM"
is REPEALED in its entirety, and prior to the section entitled "BLOOD DONATION TIME
OFF", insert the following new section:

"REINSTATEMENT OF CATASTROPHIC ILLNESS LEAVE
Commencing upon May 1, 2017, any full-time employee who has accumulated the maximum of
sixty (60) days of sick leave (as provided in the section of this handbook entitled "SICK
LEAVE") shall accrue catastrophic illness leave at a rate of one working day (35 hours or 40
hours, as appropriate for the particular employee) per month of employment for each month
during which no additional sick leave may be accrued because the employee has accumulated the
maximum accruable sick leave. The accrual of catastrophic illness leave is limited to a
maximum of 420 hours or 480 hours, as appropriate for the particular employee. Any
catastrophic leave which was accrued during the catastrophic leave program which was repealed
December 20, 2011 shall be counted as part of the maximum accrual of catastrophic leave.
Employees may request paid catastrophic illness leave when: 1) the employee is suffering from a
catastrophic illness as defined in this section; and 2) the employee has exhausted all sick leave,
vacation leave, and other paid leave available.
No payment shall be made to the employee for unused accrued catastrophic illness leave at the
tennination of employment.
Adams County may refuse to grant catastrophic illness leave if the employee does not provide
medical records and other information related to the illness which are requested by Adams
County or its officials. It is the employee's responsibility to sign whatever waivers or consents
are required by the physician, hospital, or other health care provider to permit the information
requested by Adams County to be turned over to Adams County.
For the purposes of this section, "CATASTROPHIC ILLNESS" shall mean any of the following:
cancer, heart attack, stroke, kidney disease, acquired immunodeficiency syndrome (AIDS) or its
disabling complications, Alzheimer's disease, multiple sclerosis, muscular dystrophy, or any kind
of traumatic injury which results in the loss of use of an arm or leg for the period of thirty (30) or
more consecutive days, or actual physical loss of an arm or leg, or loss of sight in either or both
eyes for a period of thirty (30) or more consecutive days.
Any catastrophic leave which is utilized by the employee shall run concurrently with the Family
Medical Leave Act, if appropriate."

The Adams County Board of Equalization met on March 21, 20117 at 10:00 a.m. in the Adams County Board
Room to review and take action on tax list corrections. Chairman Eldon Orthmann presided over the meeting.
Roll Call members present were: Michael Stromer —District 2, Lee Hogan- District 3, Scott Thomsen — District 4,
Dale Curtis- District 5, Chuck Neumann — District 6, Eldon Orthmann — District 7
Motion by Thomsen, seconded by Curtis to meet as a Board of Equalization to review and take action on motor
vehicle tax exemptions and tax list corrections. Roll Call; Ayes: Stromer, Hogan, Thomsen, Curtis, Neumann,
Orthmann. Nays: None
Entered Board of Equalization at 10:00 a.m.
Adams County Assessor, Jackie Russell, presented the Board with tax list corrections for property owned by
Kenneth Okinga, and two properties owned James and Jean Thom. Russell has reviewed the proposed
corrections and is requesting Board approval.
Motion by Thomsen, seconded by Curtis to approve the tax list corrections as presented by Russell.. Roll Call;
Ayes: Stromer, Hogan, Thomsen, Curtis, Neumann, Orthmann. Nays: None
