A regular meeting of the Adams County Board of Supervisors was held with Chairman Eldon Orthmann was presiding.
Roll call members present, Michael Stromer - District 1, Glen Larsen — District 2, Lee Hogan- District 3 , Scott Thomsen —
District 4, Dale Curtis- District 5, Chuck Neumann — District 6, Eldon Orthmann — District 7.
Motion by Curtis, seconded by Hogan that this is an open public meeting of the Adams County Board of Supervisors. Roll
Call; Ayes: Stromer, Larsen, Hogan, Thomsen, Curtis, Neumann, Orthmann. Nays: None.
Orthmann stated that minutes from the December 5, 2017 meeting have been circulated and will stand approved unless
there is a correction.
No corrections were suggested
Public notice of this meeting has been given by publication in the Hastings Tribune and by posting. An agenda was
available to the board members and was kept continuously current and posted in the County Clerk's office, the main
courthouse lobby and the Adams County website. The following is the agenda of items to be heard, no modifications

December 12, 2017 — Served as a Teen Court Judge
December 13, 2017 — Attended a security meeting regarding the courthouse staying open past 5:30 for
jury trials
December 14, 2017 — Attended a Hastings Economic Development Meeting. Thomsen stated this was
the last meeting for HEDC Director Dave Rippe, options for Rippe's replacement are being considered.
Other topics of discussion were the development project north of Hastings and the expansion at Central
Community College.

Neumann also stated that the Adams County Wellness Committee would be sponsoring the employee
bowling event as last year.
Orthmann- December 7, 2017 — Attended a Midland Area Agency on Aging meeting; Chuck Neumann was elected

December 18, 2017 — Attended a Community Action Partnership meeting
December 13th & 14th, 2017 — Attended the Annual NACO Conference in Kearney
Chairman Orthmann opened the meeting for comments from the public.
Adams County Emergency Manager, Chip Volcek, stated that new employee ID cards will be issued the end of December
and effective January 1, 2018 the old cards will no longer get employees through security.
Adams County Road Superintendent, Dawn Miller, stated that the Adams County Roads Department would be receiving
an award for the Adams Central Road roundabout.
Adams County Maintenance Supervisor, Tom Reichert, stated that the jail elevator repairs are completed.
Adams County Resident, Mike Matthews, addressed the Board concerning a property in Prosser. Matthews stated there
is an abandoned property that is a potential danger to the community due to an open septic system, and root cellar.
Matthews stated he has been in contact with the Adams County Attorney's office as the property has been turned over
for a tax sale. Matthews is requesting any help with expediting the process.
Chairman Orthmann closed comments from the public.

At 10:02 a.m. Deputy County Attorney David Bergin proceeded with opening sealed bids for the county owned property
located at 12014 Clark Street in Roseland.
Bid one was submitted by Roseland resident, Arnie Sommer 111 in the amount of $3500.00.
Bid two was submitted by Ron Sidlo on behalf of the Village of Roseland in the amount of $11,000.00.
Bid three was submitted by Roseland residents Seth and Amber Wengler in the amount of $12,750.00.
Motion by Thomsen, seconded by Larsen to accept the high bid of $12,750.00 submitted by Seth and Amber Wengler
and direct David Bergin to prepare a purchase agreement. Roll Call; Ayes: Stromer, Larsen, Hogan, Thomsen, Curtis,
Neumann, Orthmann. Nays: None.
Motion by Stromer, seconded by Thomsen to meet as a Board of Equalization to review and take action on motor
vehicle exemption requests and tax list corrections. Roll Call; Ayes: Stromer, Larsen, Hogan, Thomsen, Curtis, Neumann,
Orthmann. Nays: None.

Regular session resumed at 10:16 a.m.
Adams County Assessor, Jackie Russell, spoke to the Board regarding and upcoming system conversion for the mass
appraisal system. Russell is still exploring options and will keep the Board informed.
Adams County Treasurer, Melanie Curry, requested approval of the release of securities from five points bank.

Adams County Highway Superintendent requested that her agenda item, to award a dump truck bid per NJPA contract,
be deferred as the roads committee is not prepared to make a recommendation at this time.
Miller's item will be deferred to a later date.
Adams County Insurance Committee Chairperson, Chip Volcek, presented the Board with a proposed amendment to the
Adams County Employee Health Insurance plan. The amendment would allow the inclusion of unattended sleep studies
as a covered procedure on the employee's health insurance plan.

public notification system. Volcek and Deputy Attorney Bergin have reviewed the contract and Volcek is requesting
approval.

Master Service Agreement
THIS SERVICES AGREEMENT ("Agreement") is effective as of July 1, 2018 by and between AlertSense,
Inc., an Idaho Corporation ("AlertSense"), with offices located at 6149 N. Meeker Place, Suite 250, Boise,
Idaho 83713 and Adams County, NE herein referred to as "Client" with offices located at 1313 North Hastings
Ave., Hastings, Nebraska 68901 (each a "Party," collectively the "Parties").
WHEREAS, AlertSense provides state, local and federal govemment agencies CAP compliant mass
notification that enables rapid exchange of information between the government and its citizens. All products
and services distributed or otherwise performed, shall be govemed by the terms of this Agreement.
NOW, THEREFORE, INTENDING TO BE LEGALLY BOUND, THE PARTIES AGREE TO THE TERMS AND
CONDITION CONTAINED ON THE FOLLOWING PAGES AND EXHIBITS HEREOF AS OF THE DATE
FIRST WRITTEN ABOVE.

Attorney Bergin presented the Board with the revised Adams County Employee Handbook. The handbook has been
circulated among county department heads to check for errors. Chip Volcek stated that a correction needed to be made
to include the Emergency Management Department in the section pertaining to the maximum sick leave payout of 480
hours at separation of employment.
Bergin requested a motion to approve the handbook with the correction made by Volcek.
Motion by Curtis, seconded by Neumann to approve the revised Adams County Employee Handbook, with the correction
made by Volcek. Roll Call; Ayes: Stromer, Larsen, Hogan, Thomsen, Curtis, Neumann, Orthmann. Nays: None.
Bergin presented the purchase agreement between Adams County and Darla Bruna for the purchase of the former
Adams County Convention and Visitors Bureau location. Bergin has review the agreement and is presenting it for
approval.
Motion by Larsen, seconded by Hogan to approve the chairman signing the purchase agreement for the former CVB

REAL ESTA'T'E PURCHASE AGREEMENT
This agreement is made and entered into by and between Adams County, a Political
Subdivision of the State of Nebraska, hereinafter called the "Seller" and Bruns Enerprises,
LLC, hereinafter called the "Buyer".
Seller, in consideration of One Hundred Eighty Thousand Dollars ($180,000), to be paid
as hereinafter provided, hereby agrees to sell and convey, and Buyer agrees to purchase, the
following described real estate:
Lot 4, Block 1, l.akeway Plaza Subdivision,
City of Hastings, Adams County, State of Nebraska
Such real, estate is also known as:
100 North Shore Drive
Hastings, Nebraska
Buyer agrees to pay the above stated consideration by cashier's check or certified check
at the time of closing. Closing shall take place on February 14, 2018, at a time and place
arranged between the parties. Closing may take place sooner by the agreement of the parties.
Possession of the above-described real estate shall be given to the Buyer at the time of closing.
Seller agrees that upon receiving the full purchase price herein referred to in this
agreement the Seller shall, at the Seller's expense, deliver to the Bayer, a good and sufficient
Quitclaim Deed,
Buyer shall he furnished a current title insurance commitment from Prairie Title, Inc.
before closing and a title insurance policy insuring marketability. The cost of title insurance
issued for this sale shall he paid fifty percent (50%) by the Seller and fifty percent (50%) by the
Buyer. Buyer agrees that should a valid defect exist, Seller has a reasonable time to correct
such defect not to exceed thirty (30) days from the date of the title commitment. If the title
defects are not cured within such time period, Buyer may declare this Agreement null and void.
Seller agrees to convey this real estate to Buyer by Quitclaim Deed free and clear of all liens and
encumbrances and subject to all easements and restrictions or covenants now of record. The
documentary stamp shall be paid by the Seller.
Since the Seller is a political subdivision of the State ofNehraska, the Seller pays no real
estate taxes on this real estate. After the date of closing, the Buyer shall be responsible for any
real estate taxes which thereafter =rue.
Seller shall comply with all federal, state, and local laws applicable to the sale or transfer
of the real estate. Seller agrees to maintain the real estate in its condition on the date of the entry
into this agreement until initial delivery of possession to theBuyer. Such maintenance shall
include, but not be Limited to, the building, lawn, parking lot, heating, air conditioning, water
heater, sewer, plumbing, electrical system, and any appliances.
Buyer, or any designee of the Buyer, at Buyer's expense, shall have the right to any
inspection of the above-described real estate and any personal property to be sold hereunder on or
before thirty (30) days prior to closing. Buyer shall give written notice to the Seller of any
unsatisfactory conditions of the property on or before twenty-five (25) days prior to closing. If
the Buyer fails to notify the Seller of any unsatisfactory conditions, Buyer agrees to accept the
property in its condition on the inspection deadline. Seller agrees to have the electricity, gas, and
water turned on for any inspections. Seller agrees to provide reasonable access to the property to
the Buyer or any designee of the Buyer to perform any inspection.
Risk of loss or damage to the above-described real estate prior to the closing date shall be
the responsibility of the Seller. If, prior to closing, the real estate is materially damaged by fire,

explosion, or any other cause, the Buyer shall have the right to one of the three following
remedies:
(1) To require the premises to be restored to the condition at the execution of this
agreement; or
(2) To adjust the price to the value of the property subject to the damage; or
(3) To rescind this agreement.
Possession of the real estate shall be given to the Buyer upon closing. This Agreement
shall in no way be construed to convey the real estate or give any right of possession. If the
Buyer fails to consummate the purchase of the real estate according to the terms of this
Agreement, Seller may rescind this Agreement or utilize such other legal remedies as are
available to the Seller by reason of such failure.
This document contains the entire Agreement of the parties hereto and supercedes alt
prior agreements or representations, oral or written, with respect to the property which are not
expressly set forth herein or incorporated herein by reference. This agreement may be modified
only by a writing signed and dated by both parties.

Bergin presented the Board with Resolution 2017-12-19.01 to set salaries for Adam County Elected officials for years
2019-2022. These salaries are the recommendations of the Adams County Personnel Committee.
Motion by Curtis, seconded by Stromer to approve Resolution 2017-12-19.01 for elected official salaries for 2019-2022.

Attorney Bergin requested no action be taken on Resolution 2017-12-19.02 as it has been determined the no
modifications would be made at this time to the compensation package and benefits offered to the Adams County
Surveyor.
Adams County Clerk, Ramona Thomas, requested the Board approve the list of outstanding checks. All checks listed are
outstanding due to overpayment or payment in error and therefore do not need to be issued to the state's unclaimed
property division. The clerk will remit a check only to the Adams County Treasurer.
Motion by Neumann, seconded by Stromer to approve the voiding of the outstanding checks presented by Thomas. Roll
