A regular meeting of the Adams County Board of Supervisors was held with Chairman Eldon Orthmann was presiding.
Roll call members present, Michael Stromer - District 1, Glen Larsen — District 2, Lee Hogan- District 3 , Scott Thomsen —
District 4, Dale Curtis- District 5, Chuck Neumann — District 6, Eldon Orthmann — District 7.
Motion by Curtis, seconded by Stromer that this is an open public meeting of the Adams County Board of Supervisors.
Roll Call; Ayes: Stromer, Larsen, Hogan, Thomsen, Curtis, Neumann, Orthmann. Nays: None.
Orthmann stated that minutes from the December 19, 2017 meeting have been circulated and will stand approved
unless there is a correction.
No corrections were suggested
Public notice of this meeting has been given by publication in the Hastings Tribune and by posting. An agenda was
available to the board members and was kept continuously current and posted in the County Clerk's office, the main
courthouse lobby and the Adams County website. The following is the agenda of items to be heard, no modifications
were made to the agenda after 9:30 a.m. the business day prior to this meeting.

Chairman Orthmann opened the meeting for public comment; there were no public comments made.
Charles McGraw with RYDE Transportation requested funds in the amount of $4000.00 to go towards the replacement
of a RYDE Transportation van.
Motion by Curtis, seconded by Stromer to approve McGraw's request for $4000.00 to use towards the purchase of a

RYDE Transit operations in Adams County - Hastings is in need of a minivan replacement:
Currently one of the vans, a 2004 Chevrolet Venture with 145,892 miles — This vehicle Is
beyond the Federal Transit Administration useful life of 5 years or 100,000 miles whichever is
first.
A replacement would be a 2018 Dodge Caravan SE 7 seat, minivan which runs
approximately $24,700.00 from the state bid.
Of the $24,700.00 RYDE Transit has secured $20,700 of the cost of the new bus from
Federal Monies, from Federal Transit Administration.
When RYDE Transit purchases new vehicles, we ask our operating funding sources (Adams
County - Hastings) to assist with capital purchases.
Local monies needed to match the bus purchase is: $4,000.00

VACATE DEMUTH SUBDIVISION NUMBER TWO
A Resolution of the Adams County Board of Supervisors, Adams County, Nebraska, DeMuth
Subdivision Number Two and providing for the filing of the same with the Register of Deeds; providing an
effective date of this Resolution; and repealing any Resolution or other provisions in conflict herewith.
It is hereby resolved that the Chairman and members of the Adams County Board of Supervisors of Adams
County, Nebraska:
Section 1. That the subdivision DeMuth Subdivision Number Two described as:
A tract of land located in the Southwest Quarter (SW 'A) of Section 28, Township 6 North,
Range 10 West of the 66 P.M., Adams County, Nebraska, said tract being more particularly
described as follows:
Commencing at the Southwest Comer of the Southwest Quarter (SW '''A) of Section 28,
Township 6 North, Range 10 West of the 6th P.M., Adams County, Nebraska; thence N00°00'00"E
(assumed bearing) along the west line of said Southwest Quarter (SW ``'A) a distance of 1353.21 feet;
thence N90°00'00"E perpendicular to said west line a distance of 1290.00 feet to the Point of
Beginning; thence continuing N90°00'00"E a distance of 475.30 feet; thence N00°00'00"E parallel

Section 4. Any Resolutions passed and approved prior to the passage and approval of this
Resolution, and in conflict with its provisions, is hereby repealed.
Section 5. This Resolution shall take effect and be in full force from and after its passage and

Mignery presented plans for the D&N Second Subdivision concurrent with the Resolution 2018-01-16.02 for the vacating
of the D&N SubDivision. Mignery and the Adams County Planning and Zoning Committee have reviewed the plans and
Mignery is presenting it to the Adams County Board for action.
Motion by Curtis, seconded by Hogan to approve the plans for D&N Second Subdivision as well as Resolution 2018-01-

Mignery also presented the annual Livestock Friendly Report to be submitted to the Nebraska Department of
Agriculture. A copy of the report is available in the Adams County Planning and Zoning office as well as the Adams
County Clerk's office.
Adams County Weeds Superintendent, Eric Walston, presented the Board with the annual Adams County Weeds
Department Activity Report. Walston has reviewed the report and is requesting the Chairman's signature so the final
report may be submitted to the Nebraska Department of Agriculture.

Statement of Finding
The failure to control noxious weeds on lands in this state is a serious problem which Is detrimental to the
production of crops and livestock and to the welfare of residents of this state and which may devalue land
and reduce tax revenue (Neb. Rev. Stat. 2-945.02(1)).
Section 2-954 of the Nebraska Noxious Weed Control Act requires each weed control authority to
establish a coordinated program for the control of noxious weeds within the county.
Goals
Ust three goals outlining how your county plans to reduce the number of noxious weed infested
acres in your county. Also, explain how your county plans on achieving each goal. Be specific and
provide as much detail as possible. if more space is needed, you may attach additional sheets. (You may
use a computer generated plan that follows the same formai)
Adams Co. intends to reduce the number of noxious weed infestations by.
1. Increasing informal inspection notices the public receives even on acres where no noxious weeds
are found. In the hope that word of mouth will increase personal control.
2. Enforce more 10 Day notices and force control on noncompliant offenders.
3. Provide more general notices and noxious wood information to local Ag based businesses.
4. Do more mapping and EDRR activities.

in this section, list how your county achieved last season's goals and were they successful? Explain.
I did more inspections this year with more landowner contact. 1 plan to continue this practice along with
more mapping and public relations. We also added money for a force control budget.

2. List the procedure that the control authority has adopted for the weed superintendent to follow
when notifying landowners of uncontrolled noxious weed infestations.
Adams County Weed Control will inspect land under Its control as required in 2-954-3b in the Nebraska
Weed Control Act, to determine areas of infestation with weeds to be declared to be noxious.
Owners of land found to be infested with noxious weeds will be contacted and advised of their obligation to
control such infestations.
Adams County Weed Control will aid In the control of such infestations, and if no action's forthcoming, will
take the necessary steps to accomplish control and will also strive for a low incidence of noxious weed
infestations.

Public Awareness
Explain the type of public relations activities that your county will use in the upcoming year to increase
public awareness (newspaper articles, interviews, presentations given, weed tours, landowner contacts,
etc.). Do not include the required general notice In this section.
1 hope to provide Information on noxious weeds at the County Fair. I would also like to give
presentations to 4H and FFA groups in the area.

This year showed a re-emergence of Leafy Spurge and Canada thistle along state Highways. I
plan to help the NDOR with their identification of these weeds.

Agreement for Technical Assistance for the Adams County,
Nebraska Assessor's
The Adams County Assessor's Office has decided to change their current CAMA
(Computer Assisted Mass Appraisal) System in the near future due to changes in the
State of Nebraska contract with Tyler Technologies.
As a result of this notification, a modification to Addendum A as shown on page A -1 of
the "Agreement for Technical Assistance for the Adams County Assessor, signed
September 19, 2017" between Adams County and TEAM Consulting LLC, needs to be
implemented.
In accordance with Section 8 Agreement Modification of the Agreement the
modifications shown below are acceptable to both parties as witnessed by signatures
and dates below.
Processes to be removed:
o Development of collection, storage and model building processes for the income
approach application
o Provide a plan on how the County should proceed in order to have sound
processes in place for the valuation of commercial property.
Processes to be added:
o Develop commercial land values
There are no changes to the timeline of delivery or cost of the project.

DATA CONVERSION SERVICES AGREEMENT
This Data Conversion Services Agreement Is made and entered into the 9th day of January, 2018 by and
between Vanguard Appraisals, Inc., an Iowa corporation, having offices at 1065 Sierra Ct. N.E. Sutter),
Cedar Rapids, Iowa 52402 ("Vanguard"), and Adams County Assessor, of 500 W 4th St Room 107,
Hastings, NE, 68901 ("Client").
WHEREAS, Vanguard has a badcground and expertise in the real estate mass appraisal business, It has
developed Computer Assisted Mass Appraisal (CAMA) software for assessment offldais and owns and
licenses others to use, certain computer application software modules and related materials known as
Vanguard Computer Systems C4MAWs/ontlr software ("CAMAvision ® System").
WHEREAS, Client wishes to retain Vanguard to provide certain data corwersion and other services, and
Vanguard is willing to perform those services, all In accordance with the terms and conditions of this
Agreement.
Therefore, the parties agree as follows:
1. DESCRIPTION OF SERVICES.
(a) Subject to the terms of this Agreement, Client hereby retains Vanguard to provide, and
Vanguard agrees to provide the following services (collectively, the "Services"):
Real Property Data file conversion from present systems [for use with the CAMAvision( System],
per Invoice # 14580.
(b) In order for Vanguard to perform the Services, (1) the Client must provide Vanguard with
the data files and file layouts from Client's present legacy systems (2) the legacy system flies as provided
by the Client to Vanguard must be In a MS -Access database, Comma Separated Text files (CSV), ASCII
comma delimited or other file format agreed upon by Vanguard, and (3) the legacy fifes must be
extracted by Client from third -party system flies before being provided to Vanguard.
(c) Vanguard will work with the IS staff, Assessor's staff, and or third -party to correlate
proper conversion of the data fields, including ownership, and the appropriate format for conversion.
Typically, Vanguard will perform a preliminary conversion, and Client staff will review the converted data
as they leam the CAMAvlsioneftSystem.
(d) Data will be converted by Vanguard a maximum of three (3) times (Including the
preliminary conversion discussed In Section 1(c) above). The first two (2) conversions (called "review
conversions") are for the purpose of review and correction, and the third conversion is final (the "final
conversion"). Upon being provided a review conversion by Vanguard, Client will have five (5) working
days to contact Vanguard with any corrections. If Client falls to timely report corrections, or reports that
there are no corrections to a review conversion, the review conversion shall be deemed a final
conversion.
(e) Vanguard expects to convert a large portion of the Assessor's data files, provided,
however, that Client acknowledges that due to data corruption, data encryption, non-equivalent data
fields, and/or unforeseen Issues, some parcel data may not be convertible or converted. Additionally,
lade of cooperation from the Assessor's staff, IS staff, and or third -party vendors could hamper
conversion efforts. Vanguard will use commercially reasonable efforts to work with the Assessor to
accomplish maximum data conversion within the maximum conversion cost estimate set forth in Section
3 below.

2. PERFORMANCE OF SERVICES. The manner in which the Services are to be performed and the
spedfic hours to be worked by Vanguard shall be determined by Vanguard.
3. PAYMENT. Client will pay a per diem fee (currently $125.00 per hour) to Vanguard for the Services
up to a maximum limit of [ 189 hours or twenty three thousand six hundred and ftty dollars ($23,650.00)
], provided that in the event that additional conversions or additional work Is required by Vanguard due
to conversion problems discovered or Inherent in the Client's data (e.g., data corruption, data encryption,
non-equivalent data fields, etc.), errors and omissions by the Client, the Assessor's staff, IS staff, and/or
third -party vendor, or a lack of cooperation by Client, the Assessor's staff, IS staff, and or third -party
vendor, Vanguard reserves the right to bill Client for such additional aonverskms or work at Vanguard's
then current rates, even If It exceeds the maximum limit. All payment required hereunder are exclusive
of federal, state, provindai or local taxes, Including any sales, use, VAT or other taxes Imposed on this
transaction, the license fees, or on Licensee's use or possession of the Ucensed materials, all of which, if
any, shall be paid by Client without deduction from payments due hereunder.
4. EXPENSE REIMBURSEMENT. Vanguard shall pay all 'out-of-pocket expenses assodated with the
Services, and shall not be entitled to reimbursement from Client, unless the maximum limit [189 hours or
twenty three thousand six hundred and fifty dollars ($23,650.00] Is exceeded.
5. SUPPORT SERVICES. Client shall not be required to provide support services, Including office
space and secretarial services, for the benefit of Vanguard.
6. NEW PROJECT APPROVAL. Vanguard and Client recognize that Vanguard's Servloes will indude
working on various projects for Client Vanguard shall obtain the approval of Client prior to the
commencement of a new project
7. TERM/TERMINATION. This Agreement shall terminate automatically upon compieblon by Vanguard
of the Services required by this Agreement, provided the provisions of Sections 9, 10, and 12 to 16 shall
survive any termination of this Agreement
8. RELATIONSHIP OF PARTIES. It Is understood by the parties that Vanguard Is an independent
contrador with respect to Client and not an employee, partner or joint venturer of Client. Client will not
provide fringe benefits, including health Insurance benefits, pard vacation, or any other employee benefit,
for the benefit of Vanguard or its staff.
9. LIMITED WARRANTY. Vanguard shall perform its services hereunder In a workmanlike manner in
accordance with Industry standards, and subject to the quality of the data provided for conversion.
Vanguard does not warrant that the Services or final conversion will be error free, or the accuracy or
completeness of the data as converted. EXCEPT AS EXPRESS+ Y SET FORTH IN THIS SERVICE
CONTRACT, VANGUARD EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES CONCERNING THE SERVICES
TO BE RENDERED HEREUNDER, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION,
ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE. AND ANY WARRANTIES
THAT MAY ARISE OR BE DEEMED TO ARISE FROM ANY COURSE OF PERFORMANCE, COURSE OF
DEALING OR USAGE OF TRADE.
10. LIMITATION OF LIABILITY. In no event shall Vanguard be liable to Client or any other person for
any Indirect, consequential, special, exemplary, or incidental damages of whatever kind and however
caused, even If Vanguard knew or should have known of the possibility of such damages. In no event Mad
Vanguard's cumulative liability for any daim arising In connection with this Agreement exceed the total fees
paid to Vanguard under this Agreement. No action, whether based in contract strict liability, or tat,
including any action based on neglgetce, arising out of the performance of services under this Agreement,
may be brought by client more than 1 year after such cause of action accrued.

11. INTELLECTUAL PROPERTY. Vanguard shall retain full and exclusive title and ownership to any
and all of its existing intellectual property rights and/or know-how, Including but not limited to, patents,
copyrights, trade marks and trade secrets, including any and all rights In and to the CAMAvislon®
System, used In performing the Services, and any intellectual property or know how developed by
Vanguard In order to perform the services or as the result of the Services (other than the data) shall be
the exclusive property of Vanguard.
12. ENTIRE AGREEMENT. This Agreement contains the entire agreement of the parties related to the
subject matter hereof and there are no other promises or conditions In any other agreement whether oral
or written, This Agreement supersedes any prior written or oral agreements between the parties.
13. AMENDMENT. This Agreement may be modified or amended If the amendment Is made in writing
and is signed by both parties,
14. SEVERABILITY. If any provision of this Agreement shall be held to be Invalid or unenforceable for
any reason, the remaining provision shall continue to be valid and enforceable. If a court finds that any
provision of this Agreement Is Invalid or unenforceable, but that by limiting such provision It would
become valid and enforceable, then such provision shall be deemed to be written, construed and
enforced as so limited.
15. WAIVER OF CONTRACTUAL RIGHT. The failure of either party to enforce any provision of this
Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce
and compel strict compliance with every provision of this Agreement
16. APPLICABLE LAW. This Agreement shall be governed by the laws of the State of Iowa, without
regard to conflicts of law provisions. Any litigation arising out of this Agreement shall only be
commenced In, and Client consents to the exclusive. jurisdiction of, the state and fedeal courts sitting in
Linn County, Iowa.
17. EXCUSED PERFORMANCE. Neither party shall be in default or be liable for any delay, failure In
performance (excepting the obligation to pay), or Interruption of service resulting directly or indirectly
from any cause beyond its reasonable control.
18. REPRESENTATIONS AND WARRANTIES OF CLIENT. Client represents and warrants to
Vanguard as follows: (a) Client has taken all necessary action to make this Agreement legally binding on
Client, that the individual signing this Agreement on behalf of Client has been fully authorized and
empowered to execute this Agreement on behalf of Client, and this Agreement constitutes a legal, valid
and binding obligation of Client in accordance with Its terms, (b) no consent, approval or authorization by
any other party or governmental authority is required in connection with the execution, delivery, validity
or enforceability of this Agreement; and (c) Client has funding sufficient for Client to fulfill It obligations
under this Agreement.

Owner incorrectly filed personal property schedule in Sarpy County for 2017 tax year.
The Adams County assessor's office had filed what turned out to be a partial schedule
on the behalf of the owner for 2017 with a 25% penalty. Owner's CPA notified both
Sarpy county and Adams county of the mistake and therefore, since the schedule was
timely flied in Sarpy County with all items accounted for that were filed In Adams County
for the owner by the assessor's office, we can transfer the schedule from Sarpy County,
sans penalty, for the 2017 tax year. The owner will receive the personal property tax
credit from the state of Nebraska for timely filing. Title 350 chapter 20 -003.06 " The
county board of equalization shall have no authority to waive or reduce any penalty and
Interest, which was correctly imposed. The entire penalty and interest shall be waived if
the reason for the omission was that the property was reported in the wrong taxing
district."
