A regular meeting of the Adams County Board of Supervisors was held with Chairman Eldon Orthmann
as presiding. Roll call members present: Michael Stromer-District 1,Glen Larsen- District 2, Lee Hogan—
District 3,Scott Thomsen-District 4, Dale Curtis- District 5,Chuck Neumann- District 6, Elson Orthmann-
District 7
Motion by Curtis,seconded by Hogan that this is an open meeting of the Adams County Supervidsors.

Orthmann stated that minutes from the January 15,2019 meeting have been circulated and will stand
approved unless there is a correction. No corrections were suggested,and minutes were approved by
unanimous consent.
Public notice of this meeting has been given by publication in the Hastings Tribune and by posting. An
Agenda was available to the board members and was kept continuously current and posted in the
County Clerk's office,the main lobby and the Adams County Website. The Following is the agenda of
items to be heard, no modifications were made to the agenda after(;30 a.m.the business day prior to

Chairman Ortthmann opened the meeting for comments from the public.

Anjanette Bonham from the CVB presented a letter from the Fraternal Order of Eagles Non-Profit Organization and
it was not Privately owned,this information was needed to award a grant request that was presented at the January
15,2019 meeting for the board to approve their grant request for$25,000.00. Neumann made the motion to approve

Eagles Aerie Club#592 belongs to the charitable Fraternal Order of Eagles Non-Profit Organization. It
is not privately owned.
The Eagles Club,located in Historical Downtown Hastings,is open to the public. There are no covercharges or door
admission fees. You do not need to be a member to enjoy nightly food and drink specials,venue rentals,Sunday dances,bar
t, games or special events. it is a community venue for wedding receptions,reunions,retirements,baptisms,bereavements and
birthday parties. The club hosts monthly fundraisers for local charities and is the location for the VFW and Bikers Against
Child Abuse monthly meetings and events. The Eagles State Pool Tournament,Eagles State Shuffleboard Tournament,Czech ':
Festival and all of the clubs special and private events help bring in hundreds to thousands of visitors every year to our
community helping boost local economy and promoting local business's,
Eagles Membership is$32/year with a onetime enrollment fee of$15.00. Members receive discounted

Phil Lorensen spoke to the Board about different ways to fund the possible Law enforcement Jail Facility
or upgrade and presented the Board different interest rates. He spoke on the borrowing capacity with

D.A. Davidson&Co. ("Davidson")is providing certain disclosures to the County of Adams(the
"County" or the "Issuer"), as required by the Municipal Securities Rulemaking Board (MSRB)
Rules G-17 & G-23, regarding our potential role, duties and interests as the underwriter or
placement agent for the upcoming Limited Tax County Building Bonds(the"Bonds")for funding
law enforcement center/jail facilities.
Davidson intends to serve as underwriter or placement agent(in either case,the"underwriter"),
and not as a financial advisor or municipal advisor,in connection with the issuance of the Bonds.
Once engaged as underwriter,as part of our services to the Issuer,Davidson may provide advice
concerning the structure,timing,terms,and other similar matters concerning the issuance of the
Bonds. However,Davidson is not acting as an advisor to the Issuer and does not owe the Issuer
a fiduciary duty pursuant to Section 15B of the Securities Exchange Act of 1934 with respect to
the information accompanying this disclosure letter. Furthermore, at this time Davidson is not
recommending any action to the issuer In connection with the proposed issuance of the Bonds.
As underwriter, Davidson's primary role will be to purchase as principal, or arrange for the
placement of,the Bonds in a commercial arm's-length transaction with the issuer. Davidson has
financial and other interests that differ from those of the Issuer. MSRB Rule 0-17 requires
Davidson to deal fairly at all times with both municipal issuers and investors.Unlike a municipal
advisor,Davidson does not have a fiduciary duty to the issuer under federal securities laws and
therefore is not required by federal law to act In the best interests of the issuer without regard to
our own financial or other interests.Davidson has a duty to purchase Bonds from the Issuer at a
fair and reasonable price,but must balance that duty with the duty to sell the Bonds to investors
at prices that are fair and reasonable.Davidson will review any official statement for the Bonds in
accordance with,and as part of,its responsibilities to Investors under the federal securities laws,
as applied to the facts and circumstances of this transaction.

Eric Walston presented the Annual weed report for approval,there was no discussion Roll call;Ayes:

Neumann made the motion to exit regular meeting and enter the Adams County Cemetery Board at
10:20 a.m. seconded by Thomsen. Roll call; Ayes: Stromer, Larsen, Hogan,Thomsen, Curtis, Neumann,
Orthmann. Nays: None.
Chairman Orthmann asked for a motion to return to regular session at 10:30 a.m. Motion by Neumann
to return to regular session seconded by Stromer.
Dawn Miller presented the proposed One and Six Year Plan,She covered what culvert work would be
done along with interlocal agreements and bridge projects. A public hearing will be held on February
19th prior to the acceptance of the plan.
Katie Kulhunek-Wilson provided an update on the Teen Court Program, she thanked the Supervisors for
their support and welcomed them to come and visit. Kulhunek-Wilson thanked Judge Scott Thomsen for
his words of wisdom that he gives the teens and thanked Donna Fegler Diass for her insight on starting
the programs well as all her advice. Ruann Root also commented that this program works with the CASA
program and thanked everyone for their support.
Judy Mignery presented the following Planning and Zoning cases for approval.
Motion to approve A-M Bohlen Subdivision to proceed made by Stromer seconded by Hogan Roll call,
Ayes:Stromer, Larsen, Hogan,Thomsen,Curtis, Neumann, Orthmann. Nays: None.
Motion to approve the JOA Ranch second subdivision to proceed along with vacation of the JOA Ranch
subdivision resolution 2019-02-05.01 made by Neumann seconded by Stromer Roll call,Ayes: Stromer,
Larsen, Hogan,Thomsen,Curtis, Neumann, Orthmann. Nays: None.
Motion to approve the Kimle Subdivision to proceed made by Hogan seconded by Curtis, Roll Call Ayes:

Judy Mignery Presented the Annual Live Stock Friendly Report there was no discussion or action taken.
Scott Thomsen addressed the Board about the In God We Trust sign on the first and second floors of the
Courthouse, he spoke of the of the reasons he agreed to install the signs and what they meant and he
was not trying to persuade any beliefs on anyone or any group he made the motion to deny the signage
requested by Margaret Marsh to Practice Tolerance he felt that the sign In God We Trust remaindered
everyone of that practice.Seconded by Curtis. Roll Call;Ayes: Stromer, Larsen, Hogan,Thomsen, Curtis,
Neumann, Orthmann. Nays: None.

The Adams County Cemetery Board met on February 5, 2019 at 10:15 in the Adams County Board Room
for the annual Adams County Cemetery Board meeting. Chairman Orthmann presided over the
meeting. The annual meeting of the Cemetery Board is an open public meeting and was advertised
accordingly in the Hastings Tribune. All Board members present.
Motion by Neumann Seconded Thomsen by to exit regular session and meet as an Adams County
Cemetery Board

Greg Anderson told the Board that all the tree cutting has been completed,the Badger holes are under
control, and a tree has been removed at Morrisville
Patty's Lawn Service will continue to mow and weed trim for the year of 2019
Thomsen commented on the new sign at Morrisville.
Neumann made a motion to for a new sign at one of the abandoned cemeteries seconded by Stromer.

Thomsen spoke on the new sign about involving FFA, He will make a tour of the Cemeteries and decide
which one will get the sign.
