A regular meeting of the Adams County Board of Commissioners was held with Chairman Lee Hogan
presiding.
Motion by Curtis,seconded by Curtis that this is an open public meeting of the Adams County Board of
Commissioners. Roll Call,Ayes:Stromer, Larsen, Hogan,Johnson,Curtis, Neumann Nays: None Absent:
None
Chairman Hogan inquired if there were any conflicts of interest. No conflicts were disclosed.
Roll was taken, roll call members present, Michael Stromer- District 1, Glen Larsen—District 2, Lee
Hogan- District 3, Harold Johnson-District 4, Dale Curtis- District 5, Chuck Neumann—District 6 Absent:
District 7 seat is currently vacant
Chairman Hogan stated minutes from the March 16, 2021 have been circulated to board members and
requested a motion to approve the minutes if there are no corrections.

Chairman Hogan opened the meeting to receive comments from the public.
No comments from the public were received.
Adams County Highway Superintendent, Dawn Miller, requested the agenda item of reviewing and
possibly approving an interlocal agreement between Adams and Clay County for road/bridge
maintenance responsibilities on the Adams and Clay County line be deferred as Clay County has not yet
had an opportunity to review the proposed addition of utility permits.
The interlocal agreement between Adam and Clay Counties will be deferred until the April 20,2021
meeting.
Miller presented the board with the 2021 asphalt agreement with Werner Construction.Werner
Construction was awarded the project during the March 16, 2021 board meeting. Miller has reviewed
the agreement and is requesting board approval.
Motion by Larsen, seconded by Stromer to approve the 2021 asphalt agreement with Werner
Construction as presented by Miller. Roll Call,Ayes:Stromer, Larsen, Hogan,Johnson, Curtis, Neumann

Miller also presented 2021 gravel contracts with Deweese Sand and Gravel and Mid Nebraska
Aggregate, based on the gravel bids approved during the March 16,2021 Board of Commissioners
meeting. Miller has reviewed the contractions and is requesting board approval for the chairman's
signature.
Motion by Larsen, seconded by Neumann to approve the 2021 gravel purchase contracts between
Adams County and Deweese Sand and Gravel and between Adams County and Mid-Nebraska Aggregate.

Miller presented the board with Adams County Resolution 2021-04-06.01 for accepting of Emergency

Whereas: Certain transportation facilities have been designated as being eligible for Federal assistance from the
Department of Transportation through the Emergency Relief Program(ER)of the Federal Highway Administration
(FHWA);and
Whereas: Major highways and bridges in Nebraska that are part of the Federal-Aid highway system suffered
widespread serious damage as a result of flooding beginning on March 12,2019(Disaster ft NE19)and were in need
of emergency or temporary repair,or restoration;and
Whereas: The Nebraska Department of Transportation,as a recipient of the previously described Federal
assistance,is charged with oversight of the expenditures of said funds;and
Whereas: The County has completed all repair work on an eligible Federal-Aid route to restore essential traffic.
Whereas: The project has met all contract provisions as required by 23 CFR Part 633A;met the Davis-Bacon wage
requirements;and abided by the Disadvantaged Business Enterprises(DBE)requirements,American with Disability
Act(ADA)requirements,"Buy America"Provisions,FHWA 1273 and prohibitions against the use of convict labor(23
U.S.C.114);and
Whereas: The State has completed the required NEPA document,along with resource agency
concurrences,and no new right of way(ROW)was needed for completing permanent repairs;and
Whereas: All emergency repairs were completed within 180 days and are eligible for 100%federal reimbursement;
and
Whereas:The total emergency repairs reimbursement is$39,273.56 and no further costs relating to this project will
be incurred or submitted to the State.
Be It Resolved:That the Nebraska Department of Transportation is hereby requested to act on behalf of Adams
County to administer Federal funds.
Be It Further Resolved:That the Chairman of the County Board is authorized to sign this Resolution on behalf of said
Board.

RELATING TO THE
ADAMS COUNTY JUSTICE CENTER PROJECT
WHEREAS,the People of Adams County approved a bond issue in November 2020 to
support the construction of a justice center which will include a jail facility(hereinafter referred
to as"Project").
WHEREAS,on March 16,2021,the County Board of Commissioners approved the use of
a construction management at risk contract pursuant to the Political Subdivisions Construction
Alternatives Act found in Section 13-2901,et.seq.of the Revised Statutes of Nebraska and
formed a Selection Committee pursuant to and in compliance with Section 13-2911 of the
Political Subdivisions Construction Alternatives Act of the Nebraska Revised Statutes,as
amended to be utilized in the selection and award of a Construction Management at Risk
Contract.
WHEREAS,pursuant to Section 13-2911 of the Political Subdivisions Construction
Alternatives Act of the Nebraska Revised Statutes,as amended,said Selection Committee shall
consist of at least five persons designated by the County to include(a)members of the governing
body of Adams County,(b)members of the administration or staff of Adams County,(c)the
performance-criteria developer,(d)any person having special expertise relevant to selection of a
construction manager under the Political Subdivisions Construction Alternatives Act,and(e)a
resident of the political subdivision other than an individual noted in above.
WHEREFORE,be it hereby resolved that Adams County hereby appoints the
following persons to the Selection Committee for the purpose of reviewing and making
recommendations in the selection to award a construction management at Risk Contract:

WHEREAS,the People of Adams County approved a bond issue in November 2020 to

WHEREAS,Adams County has contracted with Prochaska and Associates to assist
Adams County in the early stages of development and planning for said Project.
WHEREAS,on March 16,2021,the County Board of Commissioners approved the use of
a construction management at risk contract pursuant to the Political Subdivisions Construction
Alternatives Act found in Section 13-2901,et.seq.of the Revised Statutes of Nebraska.
WHEREAS, Section 13-2905 of the Revised Statutes of Nebraska requires that the County
adopt policies for entering into a construction management at risk contract.
WHEREFORE,be it hereby resolved that Adams County hereby adopts policies for
entering into a construction management at risk contract which are attached hereto,marked as
Exhibit A, and incorporated herein by reference.

A. PURPOSE
The purpose of the following is to propagate polices and procedures to allow the County of
Adams,Nebraska,to be compliant with the Political Subdivision Construction Alternatives Act
(§13-290l et.Seq.Neb.Rev.Stat.),to enter into a design-build contract which is subject to
qualification-based selection,or a construction management at risk contract for public contracts.

B. ESTABLISH CONSTRUCTION DELIVERY METHOD
I. Adopt Resolution selecting preferred construction delivery system
a. Design-Build contract,or
b. Construction Management at Risk contract
2. Must be affirmative vote of at least 2/3 of governing body
a. If Construction Management at Risk,proceed to Section C
b. If Design-Build,refer to separate Adams County policies and procedures
for Design-Build Contracts
Definitions:
Design-Build contract means a contract which is subject to qualifications-based selection between
Adams County and a design-builder to furnish:
a) architectural,engineering and related design services for a project pursuant to the act
b) labor,materials,supplies,equipment,and construction services for a project pursuant to the act.
Design-Builder means the legal entity which proposes to enter into a design-build contract which is
subject to qualifications-based selection pursuant to the act.
Construction Management at Risk contract means a contract by which a construction manager:
a) assumes the legal responsibility to deliver a construction project within a contracted price to
Adams County;
b) acts as a construction consultant to Adams County during the design development phase of the
project when the architect or engineer for Adams County designs the project;
c) is the builder during the construction phase of the project.
Construction Manager means the legal entity which proposes to enter into a construction management
at risk contract pursuant to the act.

C. REQUEST FOR PROPOSALS FOR CONSTRUCTION MANAGEMENT AT RISK
CONTRACT
1. The Request for Proposal(RFP)shall contain at a minimum the requirements of
Neb.Rev.Stat.§ 13-2909
2. Notice of the RFP shall be published in the Hastings Tribune at least thirty(30)
days prior to the deadline for receiving and opening proposals.
3. A Performance Bond and Payment Bond will required of the Construction
Manager as set forth in the RFP,prior to commencement of construction.
4. The Construction Manager will be required to carry General Liability plus
Workers'Compensation and Employers'Liability insurance as set forth in the
RFP.
5. The Construction Manager,on behalf of itself and any future subcontractor to the
Contract,will agree to use a federal immigration verification system to determine
the work eligiblity status of all employees physically performing services within
the State of Nebraska pursuant to Neb.Rev.Stat. §§4-108 to 4-114,as amended.
Definitions:
Proposal means an offer in response to a request for proposals:
a) by a design-builder to enter into a design-build contract for a project pursuant to the Act;
b) by a construction manager to enter into a construction management at risk contract for a project
pursuant to the Act.
Request for Proposals(RFP)means the documentation by which a political subdivision solicits
proposals.

C.1. PROCESS FOR RECEIPT AND EVALUATION OF PROPOSALS FOR THE
CONSTRUCTION MANAGEMENT AT RISK CONTRACT
Adams County shall receive and evaluate proposals for a construction management at risk
contract in accordance with the following:
1. Proposals shall be sealed and shall not be opened until expiration of the time
established for making proposals as set forth in the request for proposals.
2. Proposals may be withdrawn at any time prior to acceptance. Adams County shall
have the right to reject any and all proposals except for the purpose of evading the
provisions and policies of the Act. Adams County may thereafter solicit new
proposals using the same or different project performance criteria.
3. In evaluating proposals in accordance with criteria in Section D.1.,Adams County
shall refer the proposals for recommendation to a selection committee as set forth
Section D.
4. Adams County shall evaluate and rank each proposal on the basis of best meeting
the criteria in the request for proposals and taking into consideration the
recommendation of the selection committee pursuant of Neb.Rev.Stat. 13-2911.
5. Adams County reserves the right to award a contract in its own best interest,to
reject any or all proposals and to waive any or all formalities or technicalities.
6. Adams County shall attempt to negotiate a construction management at risk
contract as set forth in Section E.

D. EVALUATION OF PROPOSALS FOR CONSTRUCTION MANAGEMENT AT
RISK CONTRACTS
1. Adams County shall refer the proposals for recommendation to a selection
committee composed of a group of at least five persons designated by Adams
County. Members of the committee shall include:
a. Two members of the Adams County Board of Commissioners;
b. Officeholders and/or Members of the administration or staff of Adams
County
c. Adams County's architect or engineer;
d. Any person having special expertise relevant to selection of a construction
manager;
e. A resident of Adams County other than an individual included in
subdivisions a.thru d.of this subsection.
A member of the selection committee designated under subdivision d.and e.of
this subsection shall not be employed by or have a financial or other interest in a
construction manager who has a proposal being evaluated and shall not be
employed by Adams County.
2. The selection committee and Adams County shall evaluate proposals taking into
consideration the criteria listed in Neb.Rev.Stat.§ 13-2911. (See criteria
weighting list D.l).
3. The records of the selection committee in evaluating proposals and making
recommendations shall be considered public records for purposes of§84-711.01.

D.1. CRITERIA FOR EVALUATION OF PROPOSALS AND THE RELATIVE
WEIGHTS OF EACH CRITERION AND OTHER CRITERIA REQUIRED BY
ADAMS COUNTY FOR CONSTRUCTION MANAGEMENT AT RISK
CONTRACTS
The selection committee and Adams County shall evaluate proposals taking into consideration
the criteria enumerated below with the maximum total points for evaluation which may be
assigned to each criterion pursuant to§ 13-2911 Neb.Rev.Stat.,as amended.

E. NEGOTIATION PROCESS FOR CONSTRUCTION MANAGEMENT AT RISK
CONTRACTS
I. Adams County shall evaluate and rank each proposal on the basis of best meeting
the criteria in the RFP's advertisement taking into consideration the
recommendation of the selection committee pursuant to Neb.Rev.Stat. § 13-
2911.
2. Adams County shall attempt to negotiate a construction management at risk
contract with the highest ranked construction manager and may enter into a
construction management at risk contract after negotiations. The negotiations
shall include a final determination of the manner by which the construction
manager selects a subcontractor.
3. If Adams County is unable to negotiate a satisfactory contract with the first
highest ranked construction manager,Adams County may undertake negotiations
with the next highest ranked construction manager,if any,and may enter into a
construction management at risk contract after negotiations.
4. If Adams County,Nebraska,is unable to negotiate a satisfactory contract with any
of the ranked construction managers,Adams County may either revise the RFP
and solicit new proposals or cancel the construction management at risk process
under the Act.
5. Terms and conditions of the Construction Management at Risk Contract shall be
consistent with nationally recognized model general terms and conditions which
are standard in the design and construction industry in Nebraska.
Definitions:
Qualifications-based Selection Process means a process of selecting a Construction Manager at Risk
based first on the qualifications of the Construction Manager's proposed approach to the design and
construction of the project.

F. MISCELLANEOUS PROVISIONS
I. A construction management at risk contract may be conditioned upon later
refinements in scope and price and may permit Adams County in agreement with
the design-builder or construction manager to make changes in the project without
invalidating the contract. Later refinements under this section shall not exceed the
scope of the project statement contained in the RFP's pursuant to Neb.Rev.Stat.
