A regular meeting of the Adams County Board of Commissioners was held with Chairman Lee Hogan
presiding.
Motion by Stromer, seconded by Patterson that this is an open public meeting of the Adams County
Board of Commissioners. Roll Call,Ayes:Stromer, Larsen, Hogan,Johnson, Reams, Neumann, Patterson
Nays: None Absent: None
The Pledge of Allegiance was performed.
Chairman Hogan inquired if there were any conflicts of interest. No conflict of interests were disclosed

After the Board of Commissioners' final review, please distribute the Construction Manager's
copy to Beckenhauer Construction.Inc.,with payment,and keep the Owner's copy for your files.

Highway co-superintendent, Greg Schmidt, presented the board with a contract with Werner
Construction for 2023 concrete paving at Hayland Avenue and 82nd Street.The bid was awarded to
Werner during the August 1, 2023 meeting.Schmidt has reviewed the contract and is recommending
approval.
Motion by Neumann, seconded by Patterson to approve the contract with Werner Construction for

AGREEMENT
BETWEEN OWNER AND CONTRACTOR
FOR CONSTRUCTION CONTRACT (STIPULATED PRICE)
THIS AGREEMENT is by and between Adams County,Nebraska ("Owner")and
Werner Construction, Inc.,P.O.Box 1087,Hastings,NE 68902-1087 ("Contractor").
Owner and Contractor hereby agree as follows:
ARTICLE 1—WORK
1.01 Contractor shall complete all Work as specified or indicated in the Contract Documents. The
Work is generally described as follows:
Project includes traffic control, roadway grading, culvert pipe replacement, subgrade
preparation, foundation course, approx. 21,000 square yards of 10" doweled concrete
pavement,seeding,and associated work.
ARTICLE 2—THE PROJECT
2.01 The Project,of which the Work under the Contract Documents is a part,is generally described as
follows:

ARTICLE 3—ENGINEER
3.01 The part of the Project that pertains to the Work has been designed by Oak Creek Engineering,
P.O. Box 1209,Kearney,NE 68848.
3.02 The Owner will name an Engineer to act as Owner's representative, assume all duties and
responsibilities, and have the rights and authority assigned to Engineer in the Contract
Documents in connection with the completion of the Work in accordance with the Contract
Documents.
ARTICLE 4--CONTRACT TIMES
4.01 Time of the Essence
A. All time limits for Milestones, if any,Substantial Completion,and completion and readiness
for final payment as stated in the Contract Documents are of the essence of the Contract.
4.02 Contract Times:Dates
A. The Work will be substantially completed on or before August 15,2024,and completed and
ready for final payment in accordance with Paragraph 15.06 of the General Conditions on
or before September 1,2024.
B. Contractor will be allowed 16 calendar weeks to complete construction. Calendar week
count begins when road is closed to traffic. If road closure exceeds the calendar week time

limit,liquidated damages as described in Paragraph 4,03.A.1.shall apply for each day after
time limit.
4.03 Liquidated Damages
A. Contractor and Owner recognize that time is of the essence as stated in Paragraph 4.01
above and that Owner will suffer financial and other losses if the Work is not completed
and Milestones not achieved within the times specified in Paragraph 4.02 above,plus any
extensions thereof allowed in accordance with the Contract.The parties also recognize the
delays,expense,and difficulties involved in proving in a legal or arbitration proceeding the
actual loss suffered by Owner if the Work is not completed on time.Accordingly,instead of
requiring any such proof,Owner and Contractor agree that as liquidated damages for delay
(but not as a penalty):
1. Substantial Completion:Contractor shall pay Owner$1.000 for each day that expires
after the time(as duly adjusted pursuant to the Contract) specified in Paragraph
4.02.A above for Substantial Completion until the Work is substantially complete.
2. Completion of Remaining Work: After Substantial Completion, if Contractor stall
neglect,refuse,or fail to complete the remaining Work within the Contract Times(as
duly adjusted pursuant to the Contract) for completion and readiness for final
payment,Contractor shall pay Owner 5_,L-iM0 for each day that expires after such time
until the Work is completed and ready for final payment.
3. Liquidated damages for failing to timely attain Substantial Completion and final
completion are not additive and will not be imposed concurrently.
ARTICLE S—CONTRACT PRICE
5.01 Owner shall pay Contractor for completion of the Work in accordance with the Contract
Documents the amount that follows,subject to adjustment under the Contract:
A. For all Work,at the prices stated in Contractor's Bid,attached hereto as an exhibit.
ARTICLE 6—PAYMENT PROCEDURES
6.01 Submittal and Processing of Payments
A. Contractor shall submit Applications for Payment in accordance with Article 15 of the
General Conditions.Applications for Payment will be processed by Engineer as provided in
the General Conditions.
6.02 Progress Payments;Retainage
A. Owner shall make monthly progress payments on account of the Contract Price on the
basis of Contractor's Applications for Payment during performance of the Work as provided
in Paragraph 6.02.A.1 below,provided that such Applications for Payment have been
submitted in a timely manner and otherwise meet the requirements of the Contract.All
such payments will be measured by the Schedule of Values established as provided in the
General Conditions(and in the case of Unit Price Work based on the number of units
completed)or,in the event there is no Schedule of Values,as provided elsewhere in the
Contract.
1. Prior to Substantial Completion,progress payments will be made in an amount equal
to the percentage indicated below but,in each case,less the aggregate of payments

previously made and less such amounts as Owner may withhold,including but not
limited to liquidated damages,in accordance with the Contract
a. 2Q percent of Work completed(with the balance being retainage).If the Work has
been 50 percent completed as determined by Engineer,and if the character and
progress of the Work have been satisfactory to Owner and Engineer,then as long
as the character and progress of the Work remain satisfactory to Owner and
Engineer,there will be no additional retainage;and
b. 2Q percent of cost of materials and equipment not incorporated in the Work(with
the balance being retainage).
B. Upon Substantial Completion, Owner shall pay an amount sufficient to increase total
payments to Contractor to 100 percent of the Work completed,less such amounts set off
by Owner pursuant to Paragraph 15.01.E of the General Conditions,and less 200 percent of
Engineer's estimate of the value of Work to be completed or corrected as shown on the
punch list of items to be completed or corrected prior to final payment.
6.03 Final Payment
A. Upon final completion and acceptance of the Work In accordance with Paragraph 15.06 of
the General Conditions, Owner shall pay the remainder of the Contract Price as
recommended by Engineer as provided in said Paragraph 15.06.
ARTICLE 7—INTEREST
7.01 All amounts not paid when due shall bear interest at the rate of 1.5 percent per annum or the
maximum allowable rate by law.
ARTICLE 8—CONTRACTOR'S REPRESENTATIONS
8.01 In order to induce Owner to enter into this Contract, Contractor makes the following
representations:
A. Contractor has examined and carefully studied the Contract Documents,and any data and
reference items identified in the Contract Documents.
B. Contractor has visited the Site,conducted a thorough,alert visual examination of the Site
and adjacent areas,and become familiar with and is satisfied as to the general,local,and
Site conditions that may affect cost,progress,and performance of the Work.
C. Contractor is familiar with and is satisfied as to all Laws and Regulations that may affect
cost,progress,and performance of the Work.
D. Contractor has carefully studied all:(1) reports of explorations and tests of subsurface
conditions at or adjacent to the Site and all drawings of physical conditions relating to
existing surface or subsurface structures at the Site that have been identified in the
Supplementary Conditions,especially with respect to Technical Data in such reports and
drawings,and(2)reports and drawings relating to Hazardous Environmental Conditions,if
any,at or adjacent to the Site that have been Identified in the Supplementary Conditions,
especially with respect to Technical Data in such reports and drawings.
E. Contractor has considered the information known to Contractor itself; information
commonly known to contractors doing business in the locality of the Site;information and
observations obtained from visits to the Site;the Contract Documents;and the Site-related
reports and drawings identified in the Contract Documents,with respect to the effect of

such information,observations,and documents on(1)the cost,progress,and performance
of the Work; (2) the means, methods, techniques, sequences, and procedures of
construction to be employed by Contractor;and(3)Contractor's safety precautions and
programs.
F. Based on the information and observations referred to In the preceding paragraph,
Contractor agrees that no further examinations,investigations,explorations,tests,studies,
or data are necessary for the performance of the Work at the Contract Price,within the
Contract Times,and in accordance with the other terms and conditions of the Contract.
G. Contractor is aware of the general nature of work to be performed by Owner and others at
the Site that relates to the Work as indicated in the Contract Documents.
H. Contractor has given Engineer written notice of all conflicts, errors, ambiguities, or
discrepancies that Contractor has discovered in the Contract Documents,and the written
resolution thereof by Engineer is acceptable to Contractor.
I. The Contract Documents are generally sufficient to indicate and convey understanding of
all terms and conditions for performance and furnishing of the Work.
1. Contractor's entry into this Contract constitutes an incontrovertible representation by
Contractor that without exception all prices in the Agreement are premised upon
performing and furnishing the Work required by the Contract Documents.
ARTICLE 9—CONTRACT DOCUMENTS
9.01 Contents
A. The Contract Documents consist of the following:
1. This Agreement(C-520 pages j to 2 inclusive).
2. Performance bond(C-61.0 pages 1 to 3.,inclusive).
3. Payment bond(C-615 pages 1 to 3,inclusive).
4. Certificate of Insurance.
5. Other bonds.

the General Conditions.
ARTICLE 10—MISCELLANEOUS
10.01 Terms
A. Terms used in this Agreement will have the meanings stated in the General Conditions and
the Supplementary Conditions.
10.02 Assignment of Contract
A. Unless expressly agreed to elsewhere in the Contract,no assignment by a party hereto of
any rights under or Interests in the Contract will be binding on another party hereto
without the written consent of the party sought to be bound;and,specifically but without
limitation,money that may become due and money that is due may not be assigned
without such consent(except to the extent that the effect of this restriction may be limited
by law), and unless specifically stated to the contrary in any written consent to an
assignment, no assignment will release or discharge the assignor from any duty or
responsibility under the Contract Documents.
10.03 Successors and Assigns
A. Owner and Contractor each binds itself,its successors,assigns,and legal representatives to
the other party hereto,its successors,assigns,and legal representatives in respect to all
covenants,agreements,and obligations contained in the Contract Documents.
10.04 Severability
A. Any provision or part of the Contract Documents held to be void or unenforceable under
any Law or Regulation shall be deemed stricken,and all remaining provisions shall continue
to be valid and binding upon Owner and Contractor, who agree that the Contract
Documents shall be reformed to replace such stricken provision or part thereof with a valid
and enforceable provision that comes as close as possible to expressing the intention of the
stricken provision.
10.05 Contractor's Certifications
A. Contractor certifies that it has not engaged in corrupt,fraudulent,collusive,or coercive
practices in competing for or in executing the Contract. For the purposes of this Paragraph
10.05:

1. "corrupt practice" means the offering, giving, receiving, or soliciting of any thing of
value likely to influence the action of a public official in the bidding process or in the
Contract execution;
2. "fraudulent practice" means an intentional misrepresentation of facts made (a) to
influence the bidding process or the execution of the Contract to the detriment of
Owner,(b)to establish Bid or Contract prices at artificial non-competitive levels,or(c)
to deprive Owner of the benefits of free and open competition;
3. "collusive practice" means a scheme or arrangement between two or more Bidders,
with or without the knowledge of Owner, a purpose of which is to establish Bid prices
at artificial,non-competitive levels;and
4. "coercive practice" means harming or threatening to harm, directly or indirectly,
persons or their property to influence their participation in the bidding process or
affect the execution of the Contract.
IN WITNESS WHEREOF,Owner and Contractor have signed this Agreement.
This Agreement will be effective on August 1,2023 (which is the Effective Date of the Contract).

1. See Article 21 of the Instructions to Bidders and correlate procedures for
format and signing of the documents.
2. The Effective Date of the Contract stated above and the dates of any
construction performance bond (E1CDC°C-610 or other) and construction
payment bond(EJCDC•C-615 or other)should be the same,if possible. In no
case should the date of any bonds be earlier then the Effective Date of the

Schmidt presented the board with Resolution 2023-08-05.01 concurrent with an agreement with the
State of Nebraska for the upgrading of existing stop signs in rural locations.Schmidt has reviewed the
agreement and is requesting approval.

THIS AGREEMENT is between Adams County,Nebraska_a local public agency
("LPA").and the State of Nebraska.Department of Transportation.("State"),and collectively
referred to as the'Parties`.
WITNESSETH
WHEREAS.the Statewide Upgrade hosting STOP Sign Location of Rural Roads Team
selected this statewide or local,safety project for funding with Federai-aid fundsthis project is
identified as Project No HSIP-STWD(203),and
WHEREAS,the project is for the purchase and mstailation of the STOP sign devices
specified below.and
WHEREAS.LPA wishes to participate in the selected Federal-aid project as evidenced

A. Receipt and Installation Requirements
LPA shall ensure that at STOP signing devices
1) have been received and are in good condition

(MUTCD)that is current at the time the horizontal curve signing devices are
received oy LPA

signing devices in proper condition and it working order.In the event the STOP signs
are loststolen.damaged or destroyed.LPA shall be responsible for replacing or
repairing the horizontal curve signing devices at LPA's own cost

H. Documentation
The LPA shall maintain all correspondence,documents.accounting records and other
evidence pertaining to costs incurred and shall make such matenal available at its office
at all reasonable times during the contract period and for three(31 veatg from the date of
project close out,such records shall be available for inspection by the State and the
FHWA or any authorized representatives of the Federal government and copies thereof
shall be furnished by the LPA 4 requested.
I. Federal-aid Reautrements
The LPA agrees to comply with Federal-aid project requirements applicable to
projects of this type including,but not limited to.23 C.F.R.,49 OF R.,and the
LPA Guidelines Manual for Federal-aid Projects.in order for this transportation
project to be eligible for Federal funding.
i. Indemnity
The LPA agrees to hold harmless.indemnify,and defend the State and FHWA against
all liability.loss,damage.or expense.including reasonable attorney's fees and expert
fees,that the State and/or FHWA may suffer as a result of claims,demands,costs.or
judgments ansing out of LPA's project and the terms of this agreement.
J. Federal-aid Requirements
The LPA agrees to comply with Federal-aid project requirements applicable to

SECTION 3.STATE RESPONSIBILITIES
The State.when necessary,shall be responsible for
1) Developing plans and technical requirements for the purchase,fabrication.
construction and installation of the STOP signing devices)
2) Ordering the STOP signing devices.
3) Providing for delivery of STOP devices to the location(s)designated by the LPA.
4) Assisting LPA in resolving issues of funding eligibility.
SECTION 4. SUSPENSION OR TERMINATION
A Suspension
The State.in its sole discretion,reserves the night to suspend both(1)State's work on
this project and(2)LPA's right to incur any additional reimbursable costs on the project

when the State determines that there are issues related to project performance
responsiveness,quality or eligibility that must be corrected by LPA. The State shall provide
LPA with notice of the suspension including a description of the reason(s)for the
suspension a timet-amo for LPA to correct the deficiencies.and when applicable,a
description of the actions that must be taken for the State to revoke the suspension.
A suspension may also be imposed by the State for arty of the reasons listed in the
Termination suosection below,or for any significant change in the scope of the project that has
not been previously approved by the State or FHWA.
Failure to correct the deficiencies identified m a suspension will be grounds for the loss
of eligibility for federal funding for the project and for termination of this agreement

This agreement may be terminated for the following reasons.
The State and the LPA,by mutual written agreement,may terminate the agreement
at any time
2 The State may terminate this agreement for the following reasons
a A decrease or shift in available federal-aid funding that will in the sole
discretion of the State,make it unlikely or not feasible for the project to be
prioritized to receive federal-aid funding.
b. LPA's violation of or failure to meet the requirements for Federal-aid local
projects found in federal,state,or local raw or policyor the LPA Guidelines
Manua!
c. A notice or declaration of FHWA or the State that any part of the project is or
has become ineligible for federal funding.
d. LPA's failure to sign any State drafted or approved project agreement
including supplemental agreements or certilicabon.
e LPA's failure to pay in full the local snare specified in any agreement within
30 days atter receipt of an invoice from the State.
f. LPA's breach of a provision of this agreement
g LPA's failure to cause the protect to oe constructed according to the
approved project plans and specifications.
3. The LPA may terminate the agreement upon thirty(30)days written notice of
termination to the State,subject to the IPA meeting the conditions of paragraphs 5
and 6 below

4 Prior to the State terminating this agreement.the State shall provide written notice to
the LPA of the basis for termination and,when applicable,provide the LPA thirty(30)
days to properly resolve all issues identified by the State
5. Whenever the project is terminated for any reason.LPA shall(a)repay the State all
Federal-aid funds that have been expended for the project and(b)pay State for all of
State's costs associated with the project Further,the LPA will thereafter be solely
responsible for all costs associated with LPA's project
6 LPA may not terminate this agreement after the State has placed an order to procure
honzontai curve signing devices notwithstanding paragraphs 3 and 4 above.
SECTION 5 LAWFUL PRESENCE IN USA AN EQRK ELIGIBILITY STATUS_PROVISIONS
The LPA agrees to comply with the requirements of Neb.Rev.Stat.§4-108 to 4-114 with
its Federal-ad project,including.Out not limited to,the requirements of§4-114(1)(b))to place in
any contract ft enters into with a public contractor a provision requiring the public contractor to
use a federal immigration venficaton system to detennme the work eligibility status of new
employees physically performing services within the State of Nebraska.
SECTION 8 FAIR EMPLOYMEN?_PRACTIQES_ACJ
The LPA agrees to abide by the provisions of the Nebraska Fair Employment Practice
Act as provided by Nebraska Revised Statute,Section 48-1101 through 48-1126(Reissue
1988),and all regulations relative to nondiscrimination in federally assisted programs of the
Department of Transportation.Title 49 CFR,Parts 21 and 27 are hereby made a part of and
included in this agreement by reference.
SECTION 7 GENERAL COMPLIANCE WITH LAWS
The LPA hereby agrees to compiy with all feoeral,state and local laws and ordinances
applicable to the work in effect at the time of the work.
SECTION 8 DRUG-FREE WORKPLACE POLICY
The LPA shall have an acceptable and current drug-free workplace policy on file with the
State
SECTION 9 OISA(31LITIES ACT
The LPA agrees to comply with the Americans with Disabilities Act of 1990(P.L.101-
366),as implemented by 28 CFR 35,which is hereby made a part of and included in this
agreement by reference

SECTION 10.NON-DISCRIMINATIQN
A. Compliance with Regulations: During the performance of this agreement,the IPA,for itself
and its assignees and successors in interest.,agrees to comply with the regulations of the
DOT relative to nondiscrimination in federally-assisted programs of the DOT(49 CFR 21
and 27,hereinafter referred to as the Regulations),which are hereby made a part of and
included in this agreement by reference.
B Nondiscrimination: The LPA,with regard to the work performed by it after award and prior to
completion of this agreement,shall not discriminate on the oasis of race,color,sex.or
national origin in the selection and retention of Subcontractors,including procurements of
materials and leases of equipment. The LPA shall not participate either directly or indirectly
in the discrimination prohibited by 49 CFR 21.5,including employment practices when the
agreement covers a program set forth in Appendixes A.B,and C of 49 CFR 21.
C. Solicitations for Subcontracts.Including Procurements of Materials and Equipment. In all
solicitations either by competitive bidding or negotiation made by the LPA for work to be
performed under a subcontract including procurements of materials or equipment.each
potential Subcontractors or supplier shall be notified by the LPA of the LPA's obligations
under this agreement and the Regulations relative to nondiscrimination on the basis of race,
color.sex.or national origin.
D. Information and Reports: The LPA shall provide all information and reports required by the
Regulations,or orders and instructions issued pursuant thereto,and shall permit access to
its books.records,accounts.other sources of information,and its facilities as may be
determined py the LPA.State or FHWA to be pertinent to ascertain compliance with such
Regulations.orders,and instructions. Where any information required of an LPA is in the
exclusive possession of another who fails or refuses to furnish this information,the LPA
shall certify to the LPA.State or FHWA,as appropriate,and set forth what efforts it has
made to obtain the information.
E. Sanctions for Noncompliance: In the event of the LPA's noncompliance with the
nondiscrimination provisions of this agreement,the LPA will impose such agreement
sanctions as it or the State and FHWA may determine to be appropriate.including but not
Lmited to withholding of payments to the LPA under this agreement until the LPA complies,
and/or cancellation.termination,or suspension of this agreement,in whole or in part
F. Incorporation of Provisions: The LPA shall induce the provisions of paragraphs A through E
of this section in every subcontract,including procurements of materials and leases of

equipment,unless exempt by the Regulations,orders,or instructions issued pursuant
thereto.The LPA shall take such action with respect to any subcontract or procurement as
the LPA,State or FHWA may direct as a means of enforcing such provisions including
sanctions for noncompliance,provided however,that in the event a LPA becomes involved
in or is threatened with litigation with a Subcontractor as a result of such direction,the LPA
may request tnat the LPA enter into such litigation to protect the interests of the LPA and,in
addition,the LPA may request that the State and United States enter into such litigation to
protect the interests of the State and United States.
SECTION 11. ENTIRE AGREEMENT
This instrument embodies the entire agreement of the Parties. There are no promises.
terms,conditions,or obligations other than contained herein,and this contract supersedes all
previous communicationsrepresentations,or other contracts or contracts,either oral or written
hereto.
